Promising regulatory progress, but binary permitting, financing, dilution and execution risks do not yet justify a clean buy.
Latest call · Q1 2026Hold: TMC advanced its permitting and execution timeline, but remains a pre-revenue, high-risk development story with a $20.6 million Q1 net loss and roughly $164 million reported liquidity, including a temporary $9 million tax-withholding item and $44 million of undrawn insider credit. The bull case is a Q1 2027 commercial recovery permit, late-2027 system commissioning and a potentially large, low-cost domestic nickel/cobalt/manganese platform; the bear case is that permitting has no mandatory deadlines, offshore CapEx still requires TMC funding, and commercial production remains unproven.

Near term
NOAA is expected to publish TMC’s application in the Federal Register, initiating sequential public-comment periods; management still targets a commercial recovery permit in Q1 2027, but acknowledged that several regulatory steps have no mandatory time limits.
Allseas has substantially advanced engineering for the riser, launch-and-recovery system, umbilical and vessel integration, with procurement and subcontracting next and system integration/commissioning targeted for late 2027.
The September 2026 warrant expiry remains an overhang; management offered no extension and instead pointed to hoped-for news flow to lift the share price.
Onshore Texas feasibility work and potential government funding discussions are the near-term catalysts, while Brownsville development remains contingent on government support.
Longer term
The project’s published studies cite $5.5 billion of NPV for the first production area and $18.1 billion for additional areas, but these are point-in-time studies that exclude potential government-supported processing and future cost reductions.
A 12 million-ton-per-year Brownsville processing complex could create third-party throughput and shared-infrastructure upside, but TMC has not committed capital and its own initial phase is only about 3 million wet tonnes per year.
Allseas, processing partners and accumulated environmental/engineering work may provide a first-mover advantage, but the commercial collection system has not yet operated at scale and competitors are entering through the U.S. regulatory pathway.
Potential reductions in offshore energy and logistics costs are credible near-term optimization opportunities; autonomy, larger systems and nuclear-powered vessels remain speculative longer-term options.
The strategic thesis depends on securing domestic processing and refining capacity and government support, not merely receiving an offshore permit.
Red flags
Management described liquidity as $164 million, but $9 million was a quarter-end tax-withholding timing item and adjusted operating cash use was approximately $9.6 million; the runway therefore looks less comfortable than the headline figure.
Despite Allseas funding a significant portion of pre-production costs, management explicitly said investors should continue to plan on sharing offshore CapEx, without quantifying TMC’s remaining obligation.
The $32.1 million payable to Allseas is primarily being settled in TMC shares, highlighting ongoing equity dilution and reliance on non-cash settlement.
NOAA’s process includes mandatory 60-day comment periods and other steps without statutory deadlines, making the Q1 2027 permit target vulnerable to delay despite management’s confidence.
The company has no operating revenue and continues to rely on a first-of-kind offshore system, untested commercial logistics and future onshore processing investment.
Management did not quantify expected near-term cost reductions, TMC’s share of the 12 million-ton Brownsville capacity, or the economics and funding structure of the proposed refinery.
The CEO’s comment that management wants to push the share price higher ahead of warrant expiry is not an operating catalyst and underscores potential financing and dilution pressure.
