REFI’s core credit metrics improved, but distributable earnings of $0.44 per share did not cover the $0.47 dividend, net interest income fell 2.2% to $12.8 million, book value declined to $14.15, and leverage jumped to 47% of equity while liquidity was only about $15 million. The bull case is continued high portfolio yields at 15.8%, a $649 million pipeline, the 12% Koach notes and a potential Q4 merger; the tension is that management did not quantify Koach’s earnings contribution or demonstrate a durable cushion over the dividend.

Near term
Capital redeployment after $16.4 million of early repayments must accelerate to restore distributable earnings coverage; management offered no cushion or earnings target before the merger.
The proposed REFI-LIEN merger is targeted for Q4 2026 but remains subject to shareholder, SEC, lender and regulatory approvals; closing risk is a near-term stock catalyst.
Koach should add contractual 12% interest, including 10% cash and 2% PIK, but management refused to quantify the per-share distributable earnings impact after issuing approximately 4.3 million shares.
Only $204 million of the $649 million pipeline was backed by real estate collateral, so pipeline headline size may overstate the immediately relevant opportunity for a real-estate finance vehicle.
Potential cannabis rescheduling is increasing borrower demand for expansion and M&A, but the timing and scope of tax relief, adult-use rescheduling and interstate commerce remain uncertain.
Longer term
The merger could improve scale, diversification, liquidity and capital-market access, but the NAV-for-NAV structure does not itself establish that REFI shareholders will receive a valuation uplift.
Koach expands REFI into cannabis retail sale-leasebacks and creates upside through exit fees of up to 2.5x commitment per note if property values benefit from cap-rate compression; this also adds exposure to tenant and retail-property underwriting.
The current niche lending moat remains credible: despite improving cannabis equity-market access and rescheduling developments, management said it has seen no new entrants in its competitive debt market. However, it acknowledged that new debt participants could eventually emerge.
Credit performance is improving, with non-accruals declining to 3.7% from 4.8%, risk-rated 4-or-higher exposure broadly stable at 10.8%, and weighted-average real-estate coverage of 1.2x, but the 2.3% CECL reserve and concentrated cannabis exposure remain important downside variables.
Red flags
Dividend coverage is currently negative: basic distributable earnings were $0.44 per share versus a $0.47 dividend, and management only committed to distributing 90%-100% of basic distributable earnings for 2026 rather than explaining how the gap will be funded.
Leverage increased materially to approximately 47% of book equity from 38%, while available revolver liquidity was only about $15 million, limiting flexibility to fund the pipeline or absorb further repayments.
Management characterized the Koach structure as economically attractive, but the notes will be recorded as a reduction of stockholders’ equity rather than loans held for investment under GAAP, and no pro forma earnings, asset or book-value contribution was provided.
The $649 million pipeline is not fully comparable to the existing real-estate-backed portfolio: only $204 million had real-estate collateral, and there was no conversion, timing or probability data.
Management’s competitive moat argument is largely qualitative. Analyst questioning specifically probed new entrants after rescheduling, but the response did not provide pricing, spread or market-share evidence.
The merger’s promised value creation depends on scale and improved liquidity, yet approval, lender-consent and regulatory risks remain unresolved and the transaction is not expected to close until Q4 2026.
