Latest call · Q2 2026

Avoid buying pending proof of execution:

Q2 revenue fell 8% to $7.4 million and ending ARR declined 27% to $11.6 million after a $3.1 million contract expiration and $2.6 million reduction. The bull case is a potentially scalable gift-card and CPG platform, but management pushed meaningful gift-card expansion to late Q4 2026/2027, withdrew its prior expectation for significant 2026 ARR growth, and provided no quantified revenue outlook for the new pipeline.

Near term

Gift-card deployments at two retailers are expected to begin in August and October 2026, while a larger retailer plans a smaller September pilot aimed at broader Q1 2027 deployment.

Near-term financial momentum remains weak: subscription revenue was $3.7 million, down $900,000 year over year, and cash was $8.8 million after $1.0 million of quarterly free-cash-flow usage.

Management expects to complete senior go-to-market hiring by the end of Q3, with additional account-executive capacity added through Q3 and Q4.

A proposed restructuring of the government-related agreement could restore some of the $2.6 million ARR reduction, but timing and outcome remain uncertain.

Longer term

The investment case depends on converting 31 retail engagements and a 45,000-SKU CPG deployment into recurring revenue rather than merely expanding the pipeline narrative.

Retail and CPG are receiving dedicated sales resources, while pharma, life sciences, media and technology, and most government opportunities are being shifted to a partner-led horizontal model; this narrows execution focus but may reduce direct coverage of other markets.

The gift-card ecosystem includes issuers, distributors, scanning vendors, secure-card producers, and packaging partners, which could improve adoption if deployments scale, but management did not quantify unit economics, take rates, or customer-level ARR potential.

Subscription gross margin improved to 89% and non-GAAP operating expenses fell 9% to $8.1 million, but the company remains loss-making and may need additional capital to fund the go-to-market rebuild.

Content provenance and AI-agent authentication could become meaningful future markets, but management explicitly said it is not resourcing them as primary verticals today.

Red flags

Ending ARR fell from $15.9 million to $11.6 million, with net ARR growth of only $1.5 million partially offsetting major contract losses.

Management withdrew its expectation for significant ARR growth by year-end 2026 because the committed upsell is absent and limited time remains.

The company declined to quantify the revenue potential of the two imminent retailer rollouts, despite describing some prospects as among the world's largest retailers.

The large retailer pilot was postponed because of software availability constraints and is now smaller than originally planned, weakening confidence in deployment readiness.

Management characterized the retail pipeline as more than 30 times larger than at the start of the year but offered no conversion rates, booking values, deployment economics, or timing sufficient to underwrite the claim.

Cash was $8.8 million, quarterly free-cash-flow usage was $1.0 million, and management said 90% or more of planned capital investment would fund the go-to-market build-out; the $300,000 ATM raise suggests potential dilution before breakeven.
