BayFirst is not yet investable despite the $80 million capital raise:
Q2 produced a $32.7 million net loss, tangible book value fell to $4.82 per share from $14.22, and core operations were only roughly breakeven after excluding $43.8 million of one-time charges. The asset-resolution action may reduce legacy SBA losses, but investors still face substantial dilution from the 22.9 million preferred-share conversion and a 4.1 million-share rights offering at $3.50, alongside unresolved internal-control weaknesses and a recently restated financial history.
Near term
The rights offering launch and investor participation will determine near-term dilution and capital flexibility; management said it would launch in August at $3.50 per share for 4.1 million shares.
A new South Tampa branch is scheduled to open in September, but management provided no quantified breakeven timeline beyond saying it should be sooner than two years.
Legacy SBA balances remain material at $142 million, although they declined from $159.3 million in Q1. Reported reserve coverage is high in the riskier portfolios: 32.8% for BOLT and 25% for FlashCap.
Deposits fell 8.9% sequentially to $988.9 million as promotional and brokered balances ran off. The improved 2.66% cost of funds and 4.07% normalized NIM are positives, but ongoing deposit runoff could constrain loan growth.
Longer term
The bull case depends on successfully converting the franchise from transactional SBA loan sales to locally sourced commercial and consumer lending, relationship deposits, and treasury services. Treasury fee revenue grew 75% year over year, but management did not quantify its current revenue contribution or expected earnings impact.
Capital ratios improved materially after the raise, with Tier 1 leverage at 8.3% and total capital to risk-weighted assets at 12.77%. That provides room to rebuild the balance sheet, but the capital cushion must be viewed against the bank's very low tangible book value and further share issuance.
The community-banking strategy has potential in Tampa Bay and Sarasota, but the claimed competitive edge—local bankers, accessibility, and relationship service—was qualitative. The analyst's questioning highlighted a crowded treasury-services market, and management offered no measurable customer acquisition, pricing, or return targets.
Credit risk may be closer to resolution after the review of more than 7,000 SBA loans, but the unguaranteed portfolio and elevated classified loans require several quarters of clean charge-off and nonperforming-loan trends before the turnaround thesis is validated.
Red flags
The company restated 2024, 2025, and Q1 2026 results after identifying $2.8 million of deferred origination costs and $2.1 million of accrued interest that had understated provision expense and overstated net interest income, plus another $3.4 million of deferred-cost accounting errors. Management acknowledged ongoing remediation of material weaknesses in internal controls.
The $43.8 million of purportedly nonrecurring charges nearly equaled the entire $44 million pretax loss, leaving no demonstrated recurring earnings cushion. The analyst explicitly pressed whether core earnings power was effectively zero; the CFO confirmed Q2 core earnings were just below breakeven and relied on future growth assumptions for the recovery case.
Tangible book value declined approximately 66% sequentially to $4.82 per share, while the company will issue 22.9 million common shares through preferred conversion and potentially 4.1 million additional shares through the rights offering. The dilution and post-offering tangible book value were not quantified on the call.
Management described the asset-resolution adjustments as providing protection from future charge-offs, but did not provide a quantified remaining loss range, expected resolution timetable, or evidence that reserves are sufficient across the full $142 million unguaranteed SBA exposure.
Deposit runoff is partly intentional, but the bank still has brokered balances to shed and lost 15% of deposits year over year. The call did not establish that new relationship deposits will replace those funds at acceptable cost.
The $9.7 million redemption of Series A and Series B preferred stock is a Q3 cash event, and management also expects incremental treasury staffing and branch investment. These uses of capital could delay profitability if loan and fee-income growth does not materialize.
