Promising cloud and AI traction is offset by low underlying growth and execution risk from a major reinvestment cycle.

Latest call · Q4 2026

Hold: OpenText exited FY26 with solid execution—Q4 revenue of $1.35B, Core revenue up 3.1% constant currency, Core Cloud up 8.9%, and 37.1% adjusted EBITDA margin—but FY27 guidance remains modest at 2%–3% Core growth while $100M–$200M of investment compresses adjusted EBITDA margin to 32%–33%. The AI/Aviator opportunity and stronger bookings are encouraging, but the payoff from 300+ sales hires and ecosystem spending is unproven, while cloud net renewal declined to 94%.

Near term

FY27 execution against 2%–3% Core constant-currency growth and 8%–10% Core Cloud growth will determine whether the investment story gains credibility.

More than 300 quota-carrying sales hires are expected to be in place by the end of FY27 Q1, but management said the benefit is already incorporated into guidance and will ramp over time.

Adjusted EBITDA margin is guided down to 32%–33% from 36.3% in FY26 as go-to-market, partner, R&D and AI investments increase.

The company prioritized debt reduction and organic investment over buybacks despite renewing authorization for repurchases of up to 10% of public float.

Longer term

Aviator adoption could lift deal economics: management said deals including Aviator are more than four times larger, while integrated-agent deals have more than doubled annually for eight quarters.

Cloud demand is healthy, with Cloud cRPO up 10% year over year and Q4 cloud deals above $1M up 49%; however, 92% of cloud bookings were new-cloud engagements rather than migrations of the installed base.

The new integrated go-to-market model, 16-market structure and partner-led selling could improve cross-sell, but management acknowledged prior sales-capacity investments did not generate sufficient returns.

Balance-sheet risk has improved after $649M of FY26 debt reduction, with net leverage down to 2.75x, but upcoming maturities still require refinancing in tighter debt markets.

The long-term AI thesis depends on OpenText proving that its governed-data position creates durable pricing power and differentiation versus broader cloud, data-platform and AI vendors.

Red flags

Management did not quantify the split of the $100M–$200M investment between sales, partners and R&D, limiting assessment of returns and margin durability.

Cloud net renewal fell 180 basis points year over year to 94%; management characterized this as historical but offered only a qualitative expectation of improvement.

The enterprise assessment is still underway, with the multi-year strategic plan and financial model not expected until early calendar 2027, leaving the ultimate portfolio and growth strategy uncertain.

The 92% new-cloud booking mix suggests current cloud growth is being driven more by new business than by monetization of the large legacy installed base; management provided no quantified migration opportunity.

Aviator claims are based primarily on deal-count and deal-size indicators, without disclosed incremental revenue, retention, gross-margin or customer-level economics.

The company will stop reporting Enterprise Cloud bookings as a standalone metric from FY27 Q1, reducing one demand indicator even as management emphasizes bookings momentum.

Red flags

  • Total debt remained $5.77 billion at June 30, 2026, including $1.54 billion of Acquisition Term Loan and $4.30 billion of senior notes; the company recorded an $18.8 million debt-extinguishment loss after prepaying $613.0 million of the term loan.
  • The fair value of derivative liabilities was $219.1 million at year-end, while the company remains exposed to EUR/USD and Canadian-dollar movements despite its hedging programs.
  • Net income growth outpaced the operating information provided: the excerpts do not disclose FY2026 revenue, ARR, operating cash flow, or organic growth, making it difficult to assess the quality and durability of the EPS increase.
  • The allowance for accounts receivable credit losses was $13.1 million at June 30, 2026, after $7.7 million of credit-loss expense during the year.
