Strong execution and balance-sheet capacity are offset by unresolved activity, commodity and M&A timing risk.

Latest call · Q1 2026

NOG delivered a solid operational quarter—production reached a record 148,000 BOE/d, up 6% sequentially, with $1.2 billion of liquidity and 41 ground-game transactions—but management left 2026 guidance unchanged and only said it is trending toward the high end of its low-activity scenario. The upside is improving long-dated oil pricing, stronger differentials and potential M&A; the tension is that operator activity remains flat, Permian gas remains impaired, and geopolitical-driven prices have not yet translated into durable capital commitments.

Near term

Q2 guidance update: management expects to narrow the wide 2026 outlook range by the second-quarter call and confirm whether activity is actually accelerating.

Oil differentials are currently materially better than expected, while Waha gas weakness is expected to persist for at least the next couple of quarters until Permian takeaway projects arrive in late 2026.

Williston curtailment reversals should support production and capital efficiency, but the effect of the Iran-driven price surge on operator AFEs will lag by several months.

Monitor acquisition execution: NOG is evaluating more than $10 billion of assets across eight transactions, but asset quality and pricing vary widely.

Hedge-book disclosures and realized pricing matter: first-quarter settled hedge losses were only $17.6 million despite a $521 million noncash mark-to-market loss.

Longer term

The leasing program added more than 70 net locations over the last year and 5,100 net acres in Q1, supporting a differentiated inventory-replenishment thesis versus peers that are primarily depleting existing assets.

A sustained improvement in the 2027–2028 oil strip could drive higher operator activity, better asset values and a more liquid M&A market; today that remains a macro-dependent catalyst rather than delivered growth.

NOG's diversified exposure across the Permian, Williston, Appalachia and Uinta, combined with more than $1.2 billion of liquidity and an additional $175 million of untapped liquidity, provides capacity to pursue countercyclical acquisitions.

Consolidation can reduce aggregate drilling activity even as it improves operator cost efficiency and creates noncore asset packages; the net effect on NOG's volumes and acquisition funnel remains uncertain.

The investment case depends on disciplined M&A returns. Management says higher-quality, oil-weighted assets are increasingly available, but large transactions could add leverage or dilute returns if competition intensifies.

Red flags

2026 guidance remains wide and unchanged despite higher spot prices; management's confidence is limited to being near the high end of the low-activity scenario, with no quantified production, EBITDA or cash-flow outlook.

Management attributed the pricing improvement largely to geopolitical conditions and explicitly acknowledged operator caution; a reversal in the Middle East or long-dated prices could delay activity and weaken asset values.

Permian gas realizations were just 72% of benchmark prices in Q1, and management expects weakness for multiple quarters. Hedges insulate cash flow but do not eliminate underlying takeaway risk.

The $521 million derivative mark-to-market loss and $268 million impairment highlight substantial earnings volatility and accounting optics; a shift from full-cost to successful-efforts accounting is still only under evaluation.

The proposed M&A pipeline is large relative to the company's scale, while management disclosed variability in asset quality and integration outcomes across the market; no transaction economics were provided.
