Latest call · Q2 2026

**Verdict: cautiously constructive, but not a clean buy yet.** ImmuCell delivered strong underlying commercial momentum—Q2 sales rose 11.5% to $7.2 million, U.S.

sales grew 27.7%, distributor volume rose 28%, and market share reached 19%—but Q2 gross margin fell to 33.9% from 43.7%, while $2 million of legal proceeds materially inflated net income and adjusted EBITDA. The investment case hinges on whether management can execute its roughly $8 million capacity expansion, improve yields, and restore margins without exhausting its $8.9 million cash balance.

Near term

Q3–Q4 sales should show whether the 24% first-half distributor sell-through growth converts into sustained company revenue after the backlog comparison fully normalizes.

Gross margin recovery is the key near-term stock catalyst; Q2 was hit by lower output, $150,000 of scrap, recurring Re-Tain facility costs, and planned process changes.

Seasonally stronger beef demand in Q4 and Q1 could support volumes, but production must remain ahead of demand while quality and maintenance work continue.

Cash deployment for the $3.5 million freeze-drying phase and planned $4.5 million liquids-processing phase could pressure liquidity before capacity benefits arrive.

Longer term

The more-than-tripling of capacity and reduction in processing time from 2–3 months to less than one month could remove the historical supply constraint and improve unit economics, but the program remains an execution-heavy, multi-year commitment.

First Defense is gaining share, with animal-treatment share rising from approximately 15% to 19% and spending share from 29% to 38%; sustaining this despite pricing at roughly twice competitors’ levels will test product differentiation and commercial productivity.

Colostrum is approximately half of product costs, and increasing competition for high-quality supply could limit growth or keep costs elevated. New payment programs and farm recruitment efforts are unproven.

The favorable calf-value backdrop supports demand, but part of the recent growth may be cyclical; the durable thesis requires continued share gains and better manufacturing economics rather than relying on high calf prices.

International sales fell 38.9% in Q2, and management is only beginning a more strategic global-market assessment, so international growth is not yet contributing to the thesis.

Red flags

Q2 profitability was overstated by the $2 million one-time legal settlement: adjusted EBITDA was $2.7 million versus $1.4 million year over year, but both 2026 figures include the settlement.

Management acknowledged ongoing contamination risk, yield-improvement difficulty, and the need to execute expansion while operating the existing colostrum plant. The call did not provide quantitative yield targets, margin targets, or a detailed contingency plan.

Gross margin compression was broader than a single timing issue: recurring Re-Tain building costs remain in cost of goods sold, lower output reduced absorption, and a purchased-material quality failure caused $150,000 of scrap.

Financing the majority of approximately $8 million of expansion with cash and operations leaves limited room for execution setbacks; the company may need to draw on its credit facility.

The Q&A was light on competitive pushback and did not test whether the premium price is sustainable against lower-priced alternatives. Management cited efficacy and share gains, but did not quantify retention, price elasticity, or competitor response.

Re-Tain remains unresolved pending Michigan State study results expected in late September or early October 2026; its strategic value and any potential licensing proceeds remain speculative.
