Hold: NatWest’s Commercial & Institutional franchise is strategically strong, producing 54% of Group income, 58% of operating profit and a 17.2% 2024 return on equity, with £194bn of deposits and £140bn of lending after 9% growth. The growth opportunity in Mid-Market, infrastructure, trade finance and technology is credible, but the call offered limited incremental financial targets: deposits were flat, loan spreads remain competitive, cost savings from technology were unquantified, and management declined to disclose returns by segment.

Near term

Monitor Q1 trading for whether the reported strong start to 2025 and markets-related non-interest income persist; management cautioned that volatility-driven momentum may not continue.

Loan growth could become more balanced toward Commercial Mid-Market if UK economic activity improves, but tight credit spreads and competition may constrain margins.

Deposit trends and the 33% non-interest-bearing deposit mix remain important indicators; management prioritised deposit value over volume in 2024.

Progress on Bankline integration, including Trade360, FX, Lombard and international payments, should indicate whether technology investment is translating into product penetration and lower servicing costs.

Longer term

Mid-Market has a credible structural opportunity through social housing, infrastructure, trade finance, innovation-economy lending and transition finance; management claims it can grow faster than macroeconomic indicators, but not independently of the UK economy.

Capital recycling is a genuine strength: 2024 included £5.7bn of RWA reduction, including £3bn through four significant risk transfers. However, SRT economics depend on investor demand and pricing, and the bank would not originate Mid-Market loans assuming they could later be distributed.

The relationship-manager network of roughly 1,000 people, UK-wide coverage and cross-selling across Business Banking, Mid-Market and CIB support a differentiated franchise, though the competitive advantage is difficult to quantify.

Bankline’s £100m investment and planned cloud migration could improve operating leverage, while the bank is targeting removal of about 600 applications overall, including 250 in C&I.

AI adoption is advancing, with 150 AI models and 22 generative-AI models across the bank, but management gave no savings or headcount targets; productivity gains may be offset by new control, fraud and technology requirements.

Red flags

Analysts repeatedly pressed management on the lack of disclosed segment-level returns, rejection rates and RWA-density targets. Management provided no segment ROE figures and could not provide the loan-application rejection rate.

The deposit franchise lagged lending growth in 2024 and remained broadly flat because NatWest deliberately avoided expensive, low-value deposits. That protects economics but limits funding growth if lending accelerates.

Credit-spread compression is feeding through from large corporates into Mid-Market. Management stressed pricing discipline, but acknowledged competitive pressure and occasional willingness to defend relationship names at lower margins.

Management would not quantify AI-enabled efficiency gains or specify when cost-income improvements will materialise, leaving the central simplification thesis difficult to underwrite.

The growth case remains partly dependent on UK macroeconomic recovery and government policy, especially infrastructure, defence and planning reform. Management acknowledged that the bank cannot grow at 20% if the UK economy remains flat.

The SRT market has been supportive, but a sharp deterioration in demand or pricing could reduce capital flexibility. Management did not disclose the total RWA already covered by SRTs or the maximum potential capacity.
