- The notice of the meeting has already been circulated and may I, with your kind permission, take it as read.

- As this meeting is being held by means of video conferencing, the facility for appointing proxy has not been given to the members and, hence, Register of Proxy is not laid on the table.

- The Auditor's reports are unmodified and do not contain any qualifications, reservations or adverse remarks. Similarly, there are no qualifications, observations, comments or remarks in the Secretarial audit report.

- I have inquired about the efforts made by the company and have satisfied myself that the company has made all efforts feasible under the circumstances to enable the members to participate in this meeting and vote on the items being considered in this meeting.

- Let me now move to the Chairman's speech. Esteemed shareholders, Board members, colleagues and stakeholders, good afternoon and very warm welcome to all present at the 26th Annual General Meeting of Sumitomo Chemical India Limited.

Please permit me to introduce my colleagues on the Board and company executives who are present in this meeting. You have met most of them in the previous AGMs.

We have with us –

 Dr. Suresh Ramachandran, Deputy Managing Director.

 Mr. Ninad D. Gupte, Director.

 Mrs. Preeti Mehta, Independent Director and Chairperson of the Audit

Committee and the Nomination and Remuneration Committee.

 Mr. N. Sivaraman, Independent Director.

- I would like to welcome and introduce Mr. Anand Mohan Tiwari, who is present in this meeting. Mr. Tiwari is proposed to be appointed as an Independent Director of the company with effect from 31st August’2026 and a special resolution for his appointment is included in the agenda of today's meeting.

- Let me now move to industry context and macro environment. Let me begin with the environment in which the financial performance of the company in the year 2025-26 was achieved for it is important to understand them. The year was shaped above all by an unusually prolonged and excessive monsoon that persisted through the peak kharif window, containing field activity and damaging key crops along several geographies. The rapid recovery for which the industry had hoped proved more muted than expected. Regulatory constraints weighed on the biostimulant and biological categories for a significant part of the year. And as the year drew to a close, geopolitical tensions in West Asia, together with a broader climate of global trade uncertainty, added a further layer of complexity. In short, it was an unstable year and to have delivered stability in such year and our highest ever profitability alongside is, to my mind, a genuine achievement.

- Operational and financial performance. Against this testing backdrop, your company delivered the highest ever profitability in its history with Profit After Tax for the year at ₹543 crore. Gross Profit margin reached 42%, EBITDA margin 20.7% and Net Profit

Margin 16.8%, each of them the highest your company has ever reported. It is worth noting that this year's reported profit saw a one-time exceptional charge of ₹16.1 crore arising from the newly notified labour codes. Before this charge, the Profit

Before Tax grew by over 10%. The balance sheet on which this performance rests remains essentially debt-free with cash and liquid investments of approximately

₹2,113 crore as of 31st of March, 2026. Return on Capital Employed improved to 31% from 29% in the previous year. Net Worth grew by 17% to ₹3,394 crore. And underlying all of this is a deliberate and sustained improvement in the quality of revenue. Branded Formulations now account for 81% of domestic sales up from 79% a year earlier. And the Specialty portfolio forms close to 30% of domestic revenue.

These are, to my mind, the surest foundations for durable shareholder wealth.

- On the manufacturing front, our expansion program at Bhavnagar, Tarapur and

Dahej continued to advance. At Dahej, the first project of ₹150 crore is progressing on track towards commercialization and we expect a sustained pipeline of such projects of broadly similar scale to be announced one by one over the coming decade funded substantially from our internal accruals as we position India increasingly as a manufacturing hub for our parents' global requirements. During the year, we also resumed the distribution of animal nutrition products in response to customer needs.

- A transition in leadership. This brings me to a matter that is for me personally the most significant of the current year. A carefully managed transition in the stewardship of your company that this Annual Report depicts.

 Subject to your approval at this meeting, it is proposed that Dr. Suresh

Ramachandran, who has served your company with distinction as Deputy

Managing Director, be elevated to the position of Managing Director with effect from 1st of September, 2026.

 It is further proposed that Mr. Chetan Shah will transition to a Non-Executive

Director and advisory role for ensuring smooth succession, following which the

Board will consider his appointment as Chairman. Mr. Shah has had long association with the company, spending almost four decades in various leadership capacities and he led this company as Managing Director through a remarkable phase of its growth.

 Mr. Sushil Marfatia, the Executive Director, will retire from the Board effective

31st August, 2026 and will transition to a Non-Executive advisory role for ensuring smooth succession. I record here the Board's warm appreciation of his long service, spending almost four decades in various leadership roles and his valuable contribution.

 Mr. Ninad D. Gupte, Non-Executive Director since 2019, has decided to step down from the Board. I place on record the Board's deep appreciation of Mr.

Gupte's valuable contribution to the deliberations of the Board and the various committees and to the growth of the company.

- I would ask you to see this transition for what it is, not a discontinuation but a mark of organization's maturity. The leadership bench is deep, the culture is well settled and the direction is clear. I, therefore, approach my own departure from this office with complete confidence and with no small measure of pride in what this team has built together.

- Looking ahead, as your company enters the FY 2026-27, it does so with what I would describe as cautious optimism and I use both words deliberately. The southwest monsoon of 2026 began late and it was deficient. June was among the driest the

Country has seen in more than a decade and Kharif sowing consequently ran materially behind the previous year by roughly a fifth. Through the early weeks of the season, July has since brought a vigorous revival. The monsoon has advanced to cover the entire country and strong rainfall in several spells has narrowed the cumulative seasonal deficit appreciably. Yet the recovery has been uneven with important agricultural pockets of the northwest and west and regions in eastern and northeastern India remaining dry even as others recorded surplus. Set against the

India meteorological department's pre-season assessment of a below normal monsoon at 92% of the long period average and the elevated probability of El Niño conditions that global agencies have planned for the second half of the season, the distribution of rainfall over the coming weeks through to September remains the single most important variable for the industry to watch.

- The company enters the year running at full capacity with no supply chain constraints and with a strong balance sheet and a disciplined margin first approach that leaves it well prepared for whatever the season ultimately brings.

- Before I conclude, please permit me to extend my deepest appreciations to –

- I enumerate the 10 resolutions proposed to be taken up for voting in this meeting through the e-voting process.

1. The first resolution is an Ordinary Resolution for adopting the financial statements and the reports of the Board and auditors.

2. The second resolution is an Ordinary Resolution for a declaration of dividend at

₹1.30 per share on equity shares as recommended by the Board.

3. The third resolution is an Ordinary Resolution for approving reappointment of Dr.

Suresh Ramachandran as Director. Dr. Suresh Ramachandran retires by rotation and being eligible offers himself for reappointment.

4. The fourth resolution is a Special Resolution for reappointment of Mr. N.

Sivaraman as an Independent Director with effect from 1st September, 2026 for the second term for three years.

5. The fifth resolution is a Special Resolution for appointment of Mr. Anand Mohan

Tiwari as an Independent Director with effect from 31st August, 2026 for a term of two years.

6. The sixth resolution is an Ordinary Resolution for appointment of Mr. Chetan

Shah, presently Managing Director, whose tenure as MD concludes on 31st

August, 2026 as a Non-Executive, Non-Independent Director with effect from 1st

September, 2026.

7. The seventh resolution is a Special Resolution for according approval for promotion of Dr. Suresh Ramachandran, presently Deputy Managing Director, to the position of Managing Director with effect from 1st September, 2026.

8. The eighth resolution is a special resolution for according approval for payment of advisory fees, commission and sitting fees to Mr. Chetan Shah for one year period from 1st September, 2026.

9. The ninth resolution is an Ordinary Resolution for approving material related party transactions entered into and proposed to be entered into with Sumitomo

Chemical Company Limited, a related party, during the FY 2026-27.

10. The tenth and the last resolution is an Ordinary Resolution for ratification of the remuneration of M/s. GMVP & Associates LLP, the cost auditors.

Shah, Managing Director, to share with you highlights of the first quarter results.

- Thank you, Mr. Chairman, and good afternoon everyone. It gives me a great pleasure to welcome all of you to the Annual General Meeting of Sumitomo Chemical India

Limited. Thank you for joining us today and for your continued trust and support in the company's journey of sustainable growth and value creation.

- Before I give you information about the first quarter results, I would like to mention about our respected Chairman. It is a solemn moment as we mark the retirement of our distinguished Chairman. His term as the Director and Chairman of the Board would conclude on 31st August, 2026. Throughout his tenure as the Director and

Chairman of the Board, he has exemplified integrity, foresight and unwavering dedication guiding the Directors and the organization through periods of challenge and growth. His leadership has not only strengthened the foundation but also inspired a culture of excellence that will endure for a long, long time. Please join me in expressing our heartfelt appreciation to our Chairman. I also echo Chairman's word appreciating two retiring Directors, Mr. Sushil Marfatia and Mr. Ninad Gupte.

On behalf of the Board, the management team and the members of this company, I extend our deepest gratitude for the invaluable contribution of all three retiring

Directors. We wish them good health, happiness and fulfillment as they embark on this new chapter of life. Thank you Mukul Bhai, thank you Sushil Bhai, thank you

- Let me now share with you a brief overview of the company's performance for the first quarter of FY 26-27, a quarter in which your company has delivered fairly good results both in terms of revenue and operating margins, especially given the condition of the climatic situation of the country. The continued influence of El Nino has created considerable uncertainty in the monsoon, crop coverage and overall demand patterns. The delayed onset of the monsoon and uneven distribution of rainfall meant that June, a critical month for agriculture, recorded 43% lower rainfall marking the month as driest since 2009. This resulted in delayed sowing across nearly all crops nationwide, leading to a 40% rainfall deficit by the end of June and

20% reduction in crop area compared to last year.

 The company's revenue from operations grew marginally to ₹1,063 crores in Q1 of FY27 compared to ₹1,057 crores in Q1 of FY26.

 EBITDA increased by 6.43% to ₹233 crores up from ₹219 crores.

 The EBITDA margin expanded by 120 basis points to 21.9% from 20.7% last year.

 Net Profit rose 20.4% to ₹214 crores compared to ₹178 crores in Q1 of FY26; reflecting robust execution and margin resilience across the business.

- From the segment perspective, domestic revenue declined marginally by 3.4%.

Export revenue on the other side posted a significant gain to grow at 26.1% despite headwinds in certain markets supported by strong traction in Japan and South

America. The company continues to demonstrate financial discipline in its working capital and in the first quarter a conscious decision was made to build inventory levels owing to current geopolitical issues. While we are encouraged by a strong start to the year, we remain mindful of the seasonal nature of our industry.

Performance may vary across quarters and, therefore, we continue to evaluate our progress on a continuous basis.

- Moving forward, our focus will remain on strengthening our brand equity, deepening our farmer connect and driving operational efficiencies. Through our commitment to innovation, agility and customer centricity, we remain confident of sustaining long- term value creation for all stakeholders.

- Now, Annual Report is full of information, facts, and figures, and self-explanatory, adhering to all the norms of corporate governance. Our working is good - PBT, PAT up, and dividend of ₹1.30 in this very difficult economic environment and a good market cap. Our CSR work is very good. Also, congratulations for awards and accolades, all in the Annual Report. Also, good ESG and climatic changes are well- documented in the annual report.

- Now, my queries -

 We have 5 manufacturing facilities, what is the average capacity utilization in percentage?

 We are in agrochemicals and also in pets, but in agrochemicals how much challenges we are facing due to Middle East disturbances, geopolitical unrest, rupee fluctuations, especially on supply side and also on the purchase side? And how we are handling derisking ourselves?

 Who is our main competitor? And what is our market share? What is the demand of animal nutrition?

 40% of our revenue is in insecticide. We are in Meshi, Portion and all names given in Page 8, how much revenues we receive and how much margin? And in which of these we get the maximum margin?

 We are in 50 foreign countries including USA, how much tariffs our exports has to pay?

So, I don't have much questions because I trust the Board and their working.

 What is the market share we have in domestic as well as in international market?

 My second query, what would be the profit sharing ratio in coming financial year?

 And how many rupees expense in R&D in current financial year?

 And how the company thinking over launching a new product in current financial year?

Sir, what will be the impact of the RPTS that you are going to do with the parent company for Rs. 1623 crores? Please tell us about it. Also, tell us, the total products that we are making, how many of those products are new and will give 3% royalty to our parent company? Is it fair to give this 3% royalty? Please tell us about it. Our current investment was Rs. 457.24 last year and this time it is Rs.887.17. Is it in lakh or in crores? Please clear this for me.

Please tell us how much profit we get from this current investment? How much benefit do we get from this? Do tell me about it. Why have our other current assets reduced? What’s the reason for the same? Was Rs. 931.37 crore or lakh? Please clear this. We are left with Rs. 89.71 crore. Do tell me the reason for this. Our business is listed in the market of India. Whether the investor is from India or FII, they have trusted us. Our BSE code is 542920. Our symbol is SUMICHEM. They trust it and invest in it. Have you mentioned in some regulation that we are giving 3% royalty to them on some new products? Please maintain this trust and keep it transparent. Please tell us about the average age of our board. Please clear this as well. The products that we are making with Sulphur dioxide, how we have kept their patents with us? Which formulas are the Japanese getting produced via us, which are prohibited in Japan? If its production is banned over there, that means there are environmental reasons for the same. Please tell us about that too, as to which products are banned in Japan but they are getting them produced in India. If you could tell us about the same. Our company has been running since 2000. I would also like to know about the investor complaint that we had in February 2027 and October

2026. What was the solution of the same? What kind of complaints were they?

Please tell us about this.

- Who is the statutory auditor and the secretarial auditor with us? Tell us about them and since when they are with us and what is your rotation policy? Because on one side, there is no mention of Statutory Auditor and Secretarial Auditor. Please tell us about this, it can be a technical issue, you will clear that. And I was able to connect with you, the secretarial department sent the link. And I would like to know that when you came to attend this AGM, wherever you are sitting, had you decided which person would sit where or did you sit wherever you wanted to sit because there was no information here as to what our speaker number would be. We have to sit continuously and wait as to when you will call out our names. They have not provided us with any speaker number. Make the secretarial department as capable as possible. And wherever your plant is, if there is an opportunity, then you should make a program of a plant visit, which you can make us available from zero point.

Zero point means that you can pick us and drop us back wherever we are now. If such a facility is there for a plant visit, then we are totally ready to connect with you.

The time we have shared with you today, will strengthen our investment in the future. We hope and pray to God that in the coming years, we will want your secretarial department be as capable as possible, so that the speaker shareholders, I mean half got a chance to speak today and the other half didn’t get a chance to speak, I want your secretarial department to be capable enough so that all the

- So I just have two questions, that's all. We manufacture all our requirements in India itself. So we don't need to import anything, right? Is it true? So this closure of the

Strait of Hormuz has not affected us in any way. But has it affected our exports?

Because that Strait of Hormuz keeps on getting closed. Just wanted to know, if you can throw light on that. So how many products have we introduced? One. And the last question which I want to know, sir. No, it is applicable to us. See, there used to be TIC-20 chemical to destroy bed bugs, which was very effective. At night, if I had gone somewhere, there were bed bugs. I just took TIC-20, applied, talking about years and years ago. It was made by United Phosphorus in Vapi. And yes, all of them would be dead. Now, sir, it is a struggle to kill the bed bugs. And I know you all have discovered that product. One thing, sir, is the substitute of TIC-20 available in the market? Can I go to the chemist or anywhere and pay and procure the product?

- Thank you Mukul Bhai. Thank you for the questions. I have noted down the questions and the replies may not be in the order of questions asked, but I'll cover all

19 the answers. So, the company growth, as we have been saying very regularly, we believe in sustainable growth rather than one-time speedy growth. And it has been proven time and again that we are giving sustainable growth over a period of time.

The same will continue, in my opinion.

- As far as the Chinese manufacturers are concerned, we are not trying to manufacture anything with Chinese collaboration or in partnership with Chinese companies. However, we are trying to make our products which compete with

Chinese products and we are successfully doing that as of now.

- Our manufacturing plants have different rate of utilization. Our technical plants are almost between 92% and 100% utilization. Our formulation plant at Vapi and Silvasa will be around 65% utilization capacity. But this is because we have to have a very large capacity of formulation plants because of the main season or peak season requirements. So, while we are adequately equipped to manufacture formulations for the peak months, we cannot utilize that capacity throughout the 12 months. So, this is a typical situation as far as formulation units are concerned. And even 65% utilization, I think we are one of the very high utilization plants.

- Fortunately, geopolitical situation has not affected us much because we were well within our time to procure the inputs from the international markets well in time and also deliberately imported more raw materials than required for the first two months. We were covered for three to four months and this has played out well for us because we purchased the material in the month of March and we did not need to purchase it at a high prices in the month of August, in the month of June, May and

June. So, I think that was a deliberate decision which has worked well for the company. As far as our exports to US is concerned, the small export, but there are two products which we export to the US and I believe that the tariff is around 10% on our products, which customer alone is bearing the cost and we have not reduced our prices to cover up the tariff.

- The exchange rate has definitely devalued. However, we are fortunate that our import bill and export bill, both are almost similar. There is not much of a difference between our import and export. So, while we pay higher price per dollar for our import, but for our export we realize a higher value.

- Our main competitors, of course, are all the big pesticide companies or agrochemical companies, including multinationals and some large Indian companies. It may be

Bayer, it may be Syngenta, it may be Rallis, it may be Dhanuka, it may be a host of companies. You know all the listed companies, they are all our competitors.

- Our market share for domestic and export is around, from our domestic sale, we have 70% generic and 30% specialty and our domestic and international business share would be around 15% exports and rest domestic.

- I will come to now related party transactions and somebody has a question about 3% royalty. See, so far, we have never paid any royalty to parent company. However, the

20 circumstances changed during the past financial year, in the sense that, the parent company gives us a brand, their own brand for us to market in India and we buy the raw material and formulate that product in India from our parent company.

However, now our parent company has been very kind to allow us to buy some of these products, raw materials directly from outside because it may be cheaper to buy in India or it may be cheaper to buy from China as compared to the price at which we were getting the products to India from our parent company. So, they have been very kind enough to allow us to buy on our own. Only in such cases, we will pay 3% royalty to the parent company, but our saving will be much more than this 3% because the costs are significantly lower in this product. Buy from within

India or buy from China and pay 3% royalty is much more economical or cheaper, whatever we want. And this is a very specific arrangement. When we use the parent company's brand name, we don't buy the inputs from them, only then this royalty is paid. And so far, we have only such two products in our total list of products that we will be paying royalty.

- Somebody also asked the average age of board. Not a cricket team for sure, but our average age of the board is 67 years as of today. It may change very soon to younger age.

- Japan, our parent company does not manufacture or does not ask us to manufacture any product which is banned in Japan. So, whatever products we are manufacturing as of today are not banned in India. They may not be in the list of Sumitomo's manufacturing, Japan manufacturing, but we have two portfolios. One is specialty and one is generic. Even in the generic portfolio, there are no products that we manufacture which are banned in Japan.

- As of today, we have one meeting today only in the morning. As of today, there are no investor complaints pending with the company. All the complaints are addressed and closed.

- As far as Capex is concerned, we have a robust plan to have many plants, new plants.

One is at the edge, which is with a capital outlay of maybe 50 crores. And then there are some small Capexes for manufacturing or altering the product range in our existing plant. All this put together, I think, is around 40 crores here. And our overall

Capex, including R&D, is around 70 crores.

- We are very very closely looking at carbon reduction footprint, AI applications, etc., innovations. That is our bloodline. We have many like, we have, at the cost of 25 crores, almost 30 crores investment, we have made a huge solar panel. We have already commissioned and with this solar expansion, we meet around 70% of our electricity requirements. So that is a big carbon reduction activity. We are also looking at AI very, very closely. We are looking at where we can have AI application.

And we have now, we are going to our SNP. We are revamping in a sense that we are going to higher version of SNP rise, which has AI features inbuilt in the system.

- Due to this West Asia conflict, we have not been infected in terms of availability of material or in terms of our ability to export. We have not got affected at all in that because our imports are not from Middle East or that area. However, the shipping time or shipping freight obviously would change, but that is part of the cost increase and which gets passed on to the customers. So fortunately, by the grace of God, our business has not been affected. But for once, but for one shipment from USA, which was stuck in West Asia, we received it very late. So almost say after five months, we received that shipment. So that was the only thing that affected us. And then also, it was only ten tonnes of material, not much.

- Regarding…I answer this question every year, but I promise you, you can go and buy for your bed bugs product. You can go to the market and buy a product called Sumi

Pride Brand, It is our product and it is very, very effective against bedbugs. So please note the name S-U-M-I-P-R-I-D-E.

- The dividend should be credited by next week. As usual, there is no unusual delay or anything of that sort.

- That there was a question from one speaker regarding how will you change the channel? What are your programs to grow new product? How do you differentiate from the competition? Yes, we do have about roughly 10,000 direct customers and about 40,000 indirect customer, means that they get material from our direct customers. We do our channel programs for our direct customers, we have categorized our customers into different categories based on the business size, and we run loyalty programs, various incentive programs depending on the size of the business they do with us. We have multiple programs for the channel and we move senior leaders, visit the market, visit customers to hear them out, and also to communicate from our side, what are the critical things that we expect from them in terms of strategy.

- In terms of farmers’ outreach, we run a campaign. I think this is the third or fourth year, which is called Everyday Farmers Day, where sales team has to go out and do meetings with farmers almost on a daily basis during the peak season time, it's roughly like 100 days during the year. Apart from that, normal meetings also happen in which the farmers are educated about our new introductions, existing products, what it delivers, what it controls, what is the value proposition, and instantly those are also shown to the channel partners.

- In terms of customer satisfaction as I mentioned, how we do different incentive programs, we meet them periodically to understand their expectations and deliver our expectations. The new product launches or the pipeline of the growth, if you have seen our track record, we have been launching at least 4 or 5 new products

22 every year, including a couple of products that are lined up for launching in the current financial year. Generally, our focus is on demand generation, creating value for these products by doing farmers demonstrations, exposing more number of farmers year after year. And it becomes big over a period of time.

- In terms of sustainability of these technologies, all these products are put through in- house the evaluation as well as through the regulatory framework of the Ministry of

Agoculture, wherein we have to generate a lot of data to prove its environmental compatibility, as well as long term sustainability of the products. After that, only these gets approved. So primarily, all our products are sustainable and deliver a differentiated value compared to the competition. We continue to use digital, you know, wherever it is possible, wherever we are deploying to a large extent, whether it's in demand generation or in sales enablement, which means that all our customers have an online account wherein they are expected to go online and place orders like you do in Amazon or any other online platform. They can see their account statements, they can get their copies of their account statements, etc. etc., through online. So we have deployed online tools in various areas. We also use online tools for our sales teams. Most of the reports are online available and they can access training modules. So we deploy online tools, digital tools across many of the work areas that we work on a day to day basis. That's about it.
