Promising Irwin execution is offset by Legacy declines, margin compression, and execution risk.

Latest call · Q2 2026

Hold: FitLife delivered strong acquisition-led growth, with Q2 revenue of $26.5 million, up 65%, and adjusted EBITDA of $3.7 million, up 10%, while Irwin’s Amazon expansion and debt paydown support the upside. However, gross margin fell to 37.0% from 42.8%, Legacy FitLife revenue declined 23%, and management still lacks quantified evidence that its supply-chain, MRC, and retail-recovery initiatives will offset ongoing weakness.

Near term

Irwin Amazon revenue approached $1 million in June and remained comparable in July without Prime Day support; sustained momentum would strengthen the growth case.

Amazon subscribers recovered from just above 90,000 in mid-April to approximately 94,000, but the trend needs to persist before it proves a durable platform recovery.

Three Irwin products are expected to launch in late Q3 or early Q4, though most target declining men’s health or weight-loss categories.

MusclePharm’s new Kroger placements and reported double-digit Amazon growth could improve Legacy FitLife trends, but revenue was still down somewhat year over year.

Further SG&A reductions and lower Irwin out-of-stocks may provide near-term margin support.

Longer term

Irwin’s approved three-year formulas cover 85% of products, but only 12% of inventory currently has three-year dating and 22% has outstanding purchase orders; the expected reduction in roughly $2 million of annual inventory write-offs remains prospective.

Management targets at least four new products per quarter beginning in 2027, which could diversify Irwin beyond declining weight-loss and men’s-health categories, but the pipeline has not yet translated into sales.

Revenue mix is shifting toward higher-value online sales, but management acknowledged that some Amazon volume has likely cannibalized wholesale rather than being fully incremental.

Debt reduction is constructive: term debt fell to $36.1 million and the revolver to $2.0 million, with approximately $0.6 million of annual interest savings already identified; leverage remains material relative to quarterly EBITDA.

Legacy FitLife’s dependence on challenged specialty retail and the unresolved MRC weakness remain structural risks to the acquired growth thesis.

Red flags

Legacy FitLife wholesale revenue fell 31% year over year, primarily due to reduced GNC sales; management said the decline is worse than broader specialty-retail weakness and largely outside its control.

Legacy FitLife online revenue declined 19%, primarily due to MRC, with management citing only positive indications rather than a confirmed inflection.

Consolidated gross margin dropped 580 basis points year over year because Irwin operates at lower margins; projected supply-chain benefits were not quantified.

Management conceded it would be indefensible to claim Irwin’s Amazon growth was entirely incremental and could not quantify wholesale cannibalization.

Irwin’s first upcoming product launches are concentrated in categories management itself described as declining, increasing the risk that the 2027 innovation plan is delayed or ineffective.

The company provided no formal revenue, margin, EBITDA, or EPS guidance, leaving investors dependent on unquantified operational targets.
