VersaBank delivered a strong quarter:

revenue rose 23% to CAD 38.8 million, adjusted net income increased 27% to CAD 12.3 million, and U.S. banking revenue surged 199% to CAD 9.3 million. However, the investment case now depends on highly ambitious FY2027 targets—at least US$3 billion of incremental U.S. SRP fundings and roughly US$1.75 of incremental EPS—while capital relief, partner adoption, and the claimed Real-Time SRP advantage remain unproven; hold rather than chase the stock.

Near term

U.S. SRP funding momentum, including CAD 127 million funded after quarter-end and more than CAD 720 million year to date.

Whether NIM recovers from 2.19% toward management’s 2.3% expectation as liquidity falls from 9% of assets toward 5%-5.5%.

The shareholder vote and regulatory approvals for the reorganization targeted for completion by October 31, 2026.

Longer term

FY2027 growth depends on converting roughly half of the US$3 billion U.S. funding target from existing partners and half from prospects that are not yet signed.

The Real-Time SRP could strengthen the moat if it materially displaces traditional warehouse and ABS funding, but management provided limited independent evidence of adoption, pricing durability, or competitive response.

Operating leverage is attractive: U.S. banking efficiency reached 37% excluding a branch-sale write-off, with management targeting the low 20s by year-end and keeping core expenses broadly flat despite growth.

Capital could become the binding constraint: CET1 declined to 11.5%, and the growth plan assumes favorable risk weighting or insurance treatment for internally originated SRP assets.

The cybersecurity divestiture should remove roughly CAD 10 million of annual costs, but the sale process remains incomplete and the Fed deadline has only been extended to August 30, 2027.

Red flags

Management’s US$3 billion FY2027 funding target and US$1.75 incremental EPS estimate assume a 2.5% spread, rapid partner conversion, and substantial balance-sheet capacity; none is formal earnings guidance.

The expected lower SRP risk weighting is not approved. Management’s own timing for the preferred treatment is only an estimate around mid-2027, with interim insurance or tranche-transfer solutions also uncommitted.

Management repeatedly characterized Real-Time SRP as making traditional ABS obsolete, but analyst questioning did not establish signed pipeline volumes, retention economics, credit performance, or whether competitors can replicate the product.

Credit losses were a 0.02% recovery in the quarter, partly due to model updates and the branch-asset sale; the benign loss experience may not be representative as U.S. exposure scales.

Reported Q3 expenses included CAD 3.1 million of non-core costs and approximately CAD 2.3 million of other transitory costs, making the normalized earnings base difficult to assess.
