Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. On August 18, 2026, the Board of Directors of Offerpad Solutions Inc. (the “Company”) authorized the Company to voluntarily withdraw the listing of its Class A common stock, par value $0.0001 per share (“common stock”) from the New York Stock Exchange (“NYSE”) and transfer the listing of its common stock to The Nasdaq Capital Market. The Nasdaq Stock Market LLC (“Nasdaq”) has approved such listing. The Company expects the listing and trading of its common stock on the NYSE to cease at the close of trading on August 28, 2026. The Company expects the common stock to begin trading on Nasdaq on August 31, 2026. Following the transfer to Nasdaq, the Company’s common stock will continue to trade under the symbol “OPAD”.
