PROPOSAL NO. 1 ELECTION OF DIRECTORS Eleven directors are to be elected at the Annual Meeting. Unless otherwise specified, the enclosed proxy will be voted in favor of the eleven persons named below to serve until the next Annual Meeting of Stockholders and until their respective successors shall have been duly elected and qualified. If any of these nominees becomes unavailable for any reason, or if a vacancy should occur before the election, the shares represented by your proxy will be voted for the person, if any, who is designated by the Board of Directors to replace the nominee or to fill the vacancy on the Board. All of the nominees listed below have consented to be named as such and have indicated their intent to serve if elected. The Board of Directors has no reason to believe that any of the nominees will be unable to serve or that any vacancy on the Board of Directors will occur. Set forth below is information provided by each director and director nominee with respect to that person’s age, all positions held, principal occupation and business experience for the past five years and the names of other publicly-held companies of which the director currently serves as a director or has served as a director during the past five years. We also provide information regarding each nominee’s specific experience, qualifications, attributes or skills that led our Board to the conclusion that the nominee should serve as a director. DIRECTOR NOMINEES ​ ​ ​ MORRIS GOLDFARB Chairman of the Board and Chief Executive Officer, G-III ​ Age: 75 ​ Director since: 1974 ​ Committees: • None ​ Morris Goldfarb has served as an executive officer of G-III and our predecessors since our formation in 1974. ​ Qualifications Morris Goldfarb has significant knowledge of all facets of our company.
