ITEM 8.01 Other Events On September 8, 2026 Espey Mfg. & Electronics Corp. issued a press release announcing that the Company's Board of Directors had declared a special cash dividend of $0.75 per share. This special dividend is in addition to a regular dividend of $0.25 per share. The dividends will be payable on September 25, 2026 to all shareholders of record on September 18, 2026. On the same date, the Board of Directors promoted Kaitlyn O’Neil to be the Chief Financial Officer & Treasurer. Ms. O’Neil was already the Principal Financial Officer & Treasurer of the corporation. A copy of the press release is furnished as Exhibit 99.1 to this report.
