At the AGM held on 29 April 2025, Shareholders had approved the IPT pursuant to Chapter 9 of the Catalist Rules for the recurrent interested person transactions to be entered into by the Company with the Mandated Interested Persons in the ordinary course of business, provided that such transactions are made on normal commercial terms, and will not be prejudicial to the interests of the Company and its minority Shareholders, and in accordance with the review procedures for such transactions. The IPT Mandate will, unless revoked or varied by the Company at a general meeting, continue to be in force until the 2026 AGM. If the proposed resolution for the renewal of the IPT Mandate is approved at the 2026 AGM, the IPT Mandate shall continue in force until the date on which the next annual general meeting of the Company is held or is required by law to be held, whichever is the earlier. Accordingly, the Directors propose that the IPT Mandate be renewed at the 2026 AGM.
