Red flags

J.P. Morgan highlighted a major discrepancy between Jyske’s estimated DKK 25bn of transferred REA and Handelsbanken’s implied figure of roughly DKK 15bn; management could not reconcile the difference.

Management provided no quantified rate sensitivity, cross-selling upside, large-corporate transfer potential or detailed cost-synergy breakdown.

CET1 is expected to fall slightly below the company’s 15–17% long-term interval at closing, delaying potential buybacks until capital rebuilds and market conditions permit.

Management did not provide a purchase P/E or equivalent valuation metric because the transaction is structured as an acquisition of activities rather than a legal entity.

Analysts questioned the normalization of Handelsbanken’s profit from DKK 735m to DKK 600m; management attributed the difference mainly to credit normalization, including DKK 51m of prior-year impairment reversals.
