1. Agreement
By accessing or using OpenFilings ("the Service"), including the website at openfilings.org, the REST API, RSS feeds, and MCP connector, you agree to these Terms of Service and our Privacy Policy.
2. The service
OpenFilings aggregates and normalizes publicly available regulatory filings (SEC EDGAR, ESMA ESEF, EDINET, and other sources). We provide structured access via the web dashboard, Filings, Atom (RSS+), a metered REST API, and an MCP connector for AI agents.
Filing content remains public regulatory data. Your account, API keys, watchlist, and usage are personal data governed by the Privacy Policy.
3. Accounts and API keys
You must create an account to use metered API and MCP features. Authentication is provided via Keycloak (email/password or Google OAuth). You are responsible for keeping your credentials and API keys confidential.
API keys are created manually by you. The Service is currently offered free of charge with usage quotas; exceeding quotas may result in temporary rate limiting until the next period.
4. Acceptable use
You agree not to:
- Circumvent authentication, quotas, or rate limits
- Scrape or bulk-download the Service in ways that degrade availability for others
- Use the Service for unlawful purposes or to misrepresent filing data as official regulator output
- Share API keys or resell access without our written consent
We may suspend or terminate access for violations.
5. Disclaimer of accuracy
Financial data, KPIs, red flags, and analysis provided by OpenFilings are derived from public filings and may contain errors, omissions, or outdated information. OpenFilings makes no warranty, express or implied, regarding the accuracy or fitness for any particular purpose of the data provided.
Users are solely responsible for any decisions made based on information retrieved via OpenFilings or its MCP connector. OpenFilings shall not be liable for any financial loss, damages, or consequences arising from the use of this service.
6. Availability
The Service is provided on a best-effort basis. We do not guarantee uninterrupted access, error-free operation, or 100% data reliability. Maintenance, upstream registry outages, or parsing limitations may affect availability or completeness.
The Service is provided without a formal SLA unless separately agreed in writing.
7. Intellectual property
OpenFilings software, branding, and normalized data structures are our property. Public filing source documents remain subject to their original terms and copyright where applicable. You may use exported data for personal, research, or commercial analysis subject to these Terms and applicable law.
8. Termination
You may delete your account at any time from My Page → Settings. We may suspend or terminate accounts that violate these Terms.
Upon termination, personal data is handled as described in the Privacy Policy (deletion within 30 days).
9. Limitation of liability
To the maximum extent permitted by Swiss law, OpenFilings and its operator shall not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or business opportunities. Our total liability for any claim relating to the Service is limited to the fees you paid us in the twelve months preceding the claim, or CHF 100 if no fees were paid.
Section 5 (Disclaimer of accuracy) applies to all data accessed through the Service, including via third-party AI tools.
10. Governing law
These Terms are governed by the laws of Switzerland. Exclusive place of jurisdiction is the courts of the canton of Vaud, subject to mandatory consumer protection rules in your country of residence where applicable.
11. Changes
We may update these Terms. Material changes will be communicated by email or a notice on openfilings.org. Continued use after the effective date constitutes acceptance.
