Tourism Portfolio divestment receives ACCC approval
Kelsian | 1 Kelsian Group Limited ACN 109 078 257 Level 3, 26 Flinders Street Adelaide SA 5000 +61 (0)8 8202 8688 www.kelsian.com ASX Announcement 8 September 2026 TOURISM PORTFOLIO DIVESTMENT RECEIVES ACCC APPROVAL In summary: • the Australian Competition and Consumer Commission (‘ACCC’) has approved the sale of the Tourism Portfolio1 to Journey Beyond2; and • completion of the sale of the Tourism Portfolio1 remains subject certain conditions precedent, with completion currently anticipated to occur in 1HFY27. Kelsian Group Limited (ASX:KLS) (‘Kelsian’) is pleased to report that the ACCC has approved the sale of the Tourism Portfolio1 to Journey Beyond2. Kelsian welcomes the ACCC’s decision to approve the divestment, which is expected to complete in 1HFY27. Background On 24 February 2026, Kelsian announced that it had entered into binding agreements for the sale of the companies and businesses forming its Tourism Portfolio1 to Journey Beyond2, subject to approval by the ACCC and the Foreign Investment Review Board (‘FIRB’), change of control consents for key contracts and authorisations, as well as other customary conditions precedent for a transaction of this nature. On 26 August 2026, Kelsian announced that it had agreed with Journey Beyond2 that SeaLink Rottnest would no longer be part of the transaction perimeter. ACCC Approval of Tourism Portfolio divestment The ACCC has today determined that the Tourism Portfolio1 divestment may be put into effect following expiry of a statutory 14-day period on the basis that it is unlikely to have the effect of substantially lessening competition in any market. 1Refer to Kelsian ASX announcements dated 2 April 2025 and 24 February 2026 for a list of businesses comprising the ‘Tourism Portfolio’.
