• The company has never generated revenue from its principal activities, has an accumulated deficit of approximately $607.3 million, and reported negative operating cash flow in both 2025 and 2024.
• Disclosure controls and internal control over financial reporting were ineffective at December 31, 2025; management identified four material weaknesses and there was no auditor attestation report.
• At December 31, 2025, 40 million ordinary shares remained contingently issuable from preferred shares held by former Terra quotaholders, in addition to 851,483 bridge-loan warrants at each of $11.50 and $15.00 exercise prices.
• The company issued 8,040 convertible preferred shares at the Business Combination closing; 20 converted into 200,000 ordinary shares for the financial advisor, while further milestone-based conversion exposure remains.
• The $102.9 million cash balance is presented on a going-concern basis using budgeted cash flows for the 12 months following June 15, 2026, but management states that substantial additional capital is required and financing may not be available on acceptable terms or at all.
• Potential purchasers’ memoranda of understanding are non-binding and contingent on site characterization, governing-body approvals, and regulatory approvals; they may terminate or pursue alternatives.
