Item 8.01 Other Items. On April 1, 2026, QNB Corp. (the “Company”) completed its previously announced acquisition of The Victory Bancorp, Inc. (“Victory”) pursuant to the Agreement and Plan of Merger, dated as of September 23, 2025 (the “Merger Agreement”), between the Company and Victory. As a result of the transactions contemplated by the Merger Agreement, Victory merged with and into the Company with the Company continuing as the surviving corporation (the “Merger”), as previously disclosed in the Company’s Current Report on Form 8-K filed on April 7, 2026. In connection with the completion of the Merger, the unaudited consolidated financial statements of Victory as of and for the quarter ended March 31, 2026 are filed as exhibits hereto.
