65 of the Articles of Association of the Company and after introducing other members of the

Dear Shareholders, I have great pleasure in welcoming you to this

45th Annual General Meeting of the Company, convened electronically through Video

Conferencing mode. I hope you and your family members are safe and in good health.

The Ministry of Corporate Affairs and SEBI has permitted companies to hold their Annual

General Meeting through Video Conferencing/Other Audio Visual Means and has also allowed companies to send Annual Reports and the Notice convening the Annual General

Meeting electronically.

The soft copy of the Integrated Report for the year 2025-26 has been sent to all the members holding shares in dematerialized mode and whose e-mail addresses are available with the depository participant(s) as well as to all members who are holding shares in physical mode and whose e-mail addresses are registered with the Company or RTA for communication purposes.

The Register of Directors and Key Managerial Personnel and their shareholding, the Register of Contracts or Arrangements in which the Directors are deemed to be interested and the other documents mentioned in the Notice convening this meeting are available for inspection by the members and those who are seeking to inspect such documents may contact the Company Secretary.

Since this meeting is being held electronically, the proxy-related procedures have been dispensed with, which is in line with the regulatory requirements as mentioned in the Notice convening the meeting.

Your Company being a listed Company is required to provide e-voting facility to its shareholders. Voting by show of hands is no longer permitted. The Company has engaged the services of M/s. KFin Technologies Limited to provide the facility of e-voting to all its members to cast their votes on all the businesses contained in the Notice. Voting will be in proportion to the shares held by the members as on the cutoff date, that is 18th June, 2026.

In line with the regulatory requirements, remote e-voting facility on KFIN's e-voting platform had already been provided to the members of the Company for 4 days starting from

21st June, 2026 till 24th June, 2026. This module was disabled for voting by KFIN thereafter.

As mentioned in the Notice convening the meeting, for such of those members who did not or could not avail the remote e-voting facility and could not cast their votes during the e- voting period, the Company is pleased to provide them the facility to cast their votes electronically during the AGM on all the proposed resolutions through KFIN’s Instapoll mechanism. This Instapoll facility will be activated at the end of this meeting. Members can avail this Instapoll facility and cast their votes on the resolutions proposed in the Notice. In case any member has already voted in the remote e-voting, they will not be able to cast their vote again through Instapoll.

The Board has appointed Shri S. Srikanth, Partner, representing M/s. B S S & Associates,

Practicing Company Secretaries for scrutinizing the e-voting process in a fair and transparent manner. The Scrutinizer will unlock the voting done through remote e-voting and which will be consolidated with the e-voting done today through Instapoll facility. The voting results along with the Scrutinizer's Report will be communicated to the Stock

Exchanges within 2 working days of the conclusion of the AGM and the same will be placed on the website of the Company and on the e-voting platform of KFIN.

To sum up, the following is the schedule for today's meeting.

After I conclude my speech, those of you who have registered as a Speaker at the meeting will be invited by the Moderator. Considering the time of all those attending the meeting, we would request the Speakers to be brief and restrict their address to matters relevant to the business contained in the AGM Notice. After this, the questions or queries raised by the

Speakers who have already registered in the link provided by KFIN for this purpose would be tabulated and answered. After the queries have been answered, the meeting will conclude and those of you who have not yet cast their votes would be given the opportunity to exercise the same.

Now we will proceed to the meeting.

Dear Shareholders, I am pleased to inform you that your Company has brought out its 45th

Annual Report in the form of an Integrated Report for the year 2025-26. Which apart from containing my communication to you, gives a wider picture of your Company and its operations. Of course, it also does contain the audited standalone and consolidated financial statements of your Company for the year ended 31st March, 2026, together with the reports of your Directors, Auditors, Notice of the AGM and other mandatory reports for the said year.

As this report has been with you for quite some time, with your permission I take them as read.

Now we will discuss about the performance of the Company. During the year the

Consolidated Revenue from Operations stood at ₹2,650 Crores, registering an increased by

17% as compared to the previous year and the profit before interest and tax stood at ₹313.54

Crores, registering an increase by 93% as compared to the previous year. During the year, strategic initiatives aimed at improving manufacturing efficiency, optimizing energy use, and enhancing operational performance further strengthened the Company's foundation. These efforts enabled us to respond effectively to changing market dynamics while continuing to focus on long-term value creation.

During the year, we undertook several initiatives to improve productivity and strengthen operations across all our manufacturing network. Investments in technology upgrades, energy-saving measures and process improvements have helped enhance plant performance and reliability. We also streamlined the logistics to improve, to improve supply chain efficiency. Efforts to reduce lead distances, strengthen distribution, and deepen customer engagement enabled us to build a more agile and responsive operating network.

Operational resilience continues to remain a key focus area for the Company. Strengthening manufacturing capabilities while maintaining disciplined cost management has helped us remain competitive and adapt effectively to the changing market conditions.

Sustained public and private investments in infrastructure and housing are powering India's growth momentum and laying the foundation for future economic expansion. Large-scale developments, especially transportation networks, logistics corridors, urban infrastructure, and affordable housing are expected to accelerate cement demand across regions in the coming years. The cement industry remains closely aligned with the country's development priorities. With our strategically located manufacturing facilities and expanding distribution network, we are well-positioned to support this growth while scaling our presence across key markets.

The sector is undergoing a period of transformation, with increasing emphasis on sustainability, efficiency, and responsible resource management. As growth opportunities expand, industry expectations are evolving, making it essential for companies to balance operational performance with environmental stewardship. We believe organizations that can deliver on these priorities will be better positioned to create long-term value.

Sustainability continues to guide our long-term direction and decision-making. In Financial

Year 2025, we have reached a significant milestone by becoming the first Indian cement company to have a Net Zero by 2050 GHG Emission reduction targets validated by the SBTi, in line with their Corporate Net Zero Standard. This milestone reflects our commitment to reducing emissions in line with globally recognised climate goals. Our aim is to implement

SBTi validated targets and make all efforts to achieve our goals. During the year, we increased the use of renewable energy, improved energy efficiency, and made efforts to increase alternate fuel and raw materials usage.

Enhanced sustainability disclosures and independent assurance processes further strengthened our ESG oversight and helped earn the confidence of our stakeholders. We also continued to prioritise water conservation, efficient use of resources, and responsible manufacturing practices across operations.

Equally important to us is the consistent support and trust of our stakeholders. Employees, customers, partners, shareholders, and the communities have each played an important role in the journey of Sagar Cements. We are deeply grateful for your partnership.

Built on decades of operational strength, we remain focused on building a resilient organization that can contribute meaningfully to India's infrastructure growth while delivering long-term value to stakeholders.

Overall the past year, has been marked by challenges and opportunities for the cement industry. Despite headwinds in the form of inflationary pressures, volatile input costs, and global uncertainties, your Company has demonstrated resilience and adaptability. Our focus is on operational excellence, strategic expansion, and sustainable growth, which has enabled us to strengthen our position across key markets.

The Board of Directors of the Company, at their meeting held on 5th June, 2026, accorded its approval for the merger of one of our subsidiary company, Andhra Cements Limited with the company, which will be subject to necessary approvals as may be required from the regulatories, Shareholders and other concerned authorities. And the rationale for this merger will be explained now.

Sagar Cements Limited is a promoter of Andhra Cements Limited and holds 75% of the paid- up equity share capital and both the companies are engaged in the same line of business, that is manufacturing and sells cement under the brand name of Sagar Cement which would facilitate complete alignment of manufacturing operations, branding, marketing and distribution functions under a single corporate structure, thereby resulting in operational efficiencies and enhanced value creation for all stakeholders. The amalgamation will also consolidate the manufacturing and commercial functions of both entities into an integrated operational framework.

Details relating to future outlook and other related matters have already been covered in detail elsewhere in the Integrated Report. I don't want to dwell further on this.

Dear Shareholders, the Notice dated 13th May, 2026, convening this meeting has already been circulated as part of the Integrated Report for the financial year ended 31st March, 2026 and with your permission, this has since been taken as read. As both the Auditor's Report and the Secretarial Auditor’s Report do not have any adverse qualifications or observations or comments on the financial transactions or matters as having any adverse effect on the functioning of the Company, these reports are not required to be read out at the meeting.

The Notice of the meeting contains 5 resolutions seeking approval of the shareholders, a gist of which is given below.

There are 3 ordinary business resolutions and 2 special business resolutions, and I will be reading them now.

The first one is Adoption of Audited Stand-alone Financial Statements of the Company for the year ended 31st March, 2026 together with the reports of the Auditors and Directors thereon and the Audited Consolidated Financial Statements of the Company for the year ended 31st March, 2026 together with the report of the Auditors thereon.

Resolution number 2 is the Re-appointment of Dr. S. Anand Reddy as a Director liable to retire by rotation.

Resolution number 3 is a Re-appointment of Smt. S. Rachana as a Director liable to retire by rotation.

Now I will go to the special business resolutions.

Number 4 is a Ratification of the remuneration payable to Cost Auditors.

Number 5 is Approval of material-related party transactions.

The resolutions and the explanatory statement wherever applicable in respect of the above proposals have already been provided in the Notice of the meeting.

Sir, I support all the agenda items. Fourth sir, I don't have much question about the resolution because I have full faith in the Board and Board members and their working. Sir, I have few questions. Firstly, what is the CapEx for coming financial, coming financial 5 years? Secondly, what is, what more steps are taken for adding to green energy? Third, what is the market share in domestic as well as internationally. But before that sir, this is our first interaction with the management, so I wish the entire management team, each and every dedicated employee of our Company, a happy, healthy and prosperous future. Coming down to my observations sir, I have been with the Company for years now, and I have the deepest, deepest respect for you respected Chairperson. If you see the last year under review, excellent, excellent performance sir. Excellent performance despite so many social, economical barriers in the home front and in the worldwide sir. And your elaborate speech in an easy-to-understand language for a returnee like me, which is something which is very, very informative sir. Sir, as far as the agenda is concerned, I wholeheartedly support all the resolutions which you set up for the Northeast today. And I truly believe in your leadership, your dedication, devotion. As per your speech, after proper amalgamation with Andhra Cements, our focus is on our key product, and that will potentially cut down on administration cost and give us the core business to the management so that we will pursue it with 100% capacity sir. So my query is the cement industry has witnessed fluctuations in demand and pricing across different regions. Could the management provide region-wise capacity utilization of the

Company plants during the Financial Year and share its outlook on cement demand, realization, and profitability for the current Financial Year. One suggestion, the Company may consider expanding its premium value product such as specialized cement for its infra project of precast construction, ready-mix concrete applications and green cement solutions.

This product typically commands better margins than ordinary cement and can help increase revenue by differentiating Sagar Cements from competitors. On a lighter note, before I conclude a light-hearted note, as a shareholder, we are delighted that Sagar Cements helps build a strong foundation across the country. We only hope that the Company share price and profit also become as solid and durable as cement it manufactures. That would surely cement the happiness of all shareholders. It is a sustained effort in this present market and situation that you have done a great thing because a single MTPA costing around ₹1,200 to ₹1,400 crores, and you have added this asset to Sagar Cements to take it to new heights. And even in the energy front, the waste heat generation. There also you have achieved a big target of above 4 megawatts. Thanks to you, take it, this Company to new heights because you are the second generation technocrat. Sir,

I wish to put, going forward the Company will reach new heights because 4 to 5 years this asset, CapEx which we have done, it has costed you, and you have done a lot of efforts to see that they are fully successfully commissioned. But Company has to reach a new high in revenue, in margin, and better cash generation, which we for the past 3 to 4 years we are experiencing as a shareholder. So even I wish that EBITDA, which was around 5% recently, you will take it to again double digit, around 17 to 20, which was earlier around 2021. Even the market cap, which is now around ₹2,300 crores only, I wish that under your leadership it will be crossing 4, ₹5,000 crore market cap in future. Company deserves much more respect than the current market cap after completing more than a decade of successful operations, profitability, dividend history, and becoming one of the strongest brands in the respective segment. Sir, I would request the Company to kindly arrange for a plant visit, sir, and this has not been arranged for the past several years. So I would request you to kindly arrange for a plant visit for the investor fraternity and also try to— And what are the steps being taken by the management to improve the EPS, PE ratio and return on equity? I would like to know from you, sir. And what steps are taken by the management to reduce the other expenses, legal professional charges, and audit fees? And whether any plant we have in Tamil Nadu, and whether we have any proposal to open up a plant in Tamil Nadu, and whether our Company is interested in purchasing a cement

(cid:294)ార(cid:164) fortunately, in our case, every quarter, yeah, the investor presentation is being uploaded, sir.

Yeah, in the intermittent quarter, it is— it would be a challenge for us to address those queries. But what I would like to assure you is that some of the questions like capacity utilization as well as the cost impact, cost per coal, are we importing and all, are updated from time to time, part of our investor presentation. So we'll be more than happy to share it with you one-on-one, and I would request the Company Secretarial team to assist you on that. But every quarter, end of the quarter, we have been uploading the investor presentation post results systematically. One of the queries from Praful Chavda ji was, are we importing anything for our production? Yes, sir, but we only import from time to time whenever the cost is lower. But as such, we are not dependent on any imported product for producing cement. So we are not getting impacted on the account of war for the availability of the material. Of course, there are some products whose price went up, uh, that's the only impact.

But we generally don't import any raw material other than fuel, and we import fuel only when imported fuel prices are lower. That's what I would like to highlight, sir. Yeah, regarding the CSR and all, we have been constantly updating and it's part of our Annual

Report. I think there is a very exhaustive— though for last couple of years, fortunately or unfortunately, the capacity got expanded but the market was under stress. So, we do hope as the situation improves, the other financial metric would also improve along with the

Capacity, sir. From a capacity utilization perspective, constantly we are updating unit by unit capacity utilization on a quarter-to-quarter basis, sir. So we will continue to disclose that part of our investor presentation. Our long-term goal, as indicated earlier, sir, every 10 years we intend to be doubled. So the first target was becoming 10 million by 2025, yeah, which we could achieve. The next target is to become 20 million by 2035. So that's a stated goal, and we believe that we are on the path to achieve that by 2035, sir. So regarding the plant visit sir, our team always would be more than happy to coordinate. Yeah, our policy is that if any of our stakeholders would want to visit the plant, they are welcome at any given point of time. Yeah, they have to reach the plant site. Yeah, the rest of everything would be taken care of by the plant, sir, but we are not organizing for, uh, the transportation from here all the way to the plant. But we would be more than happy if they reached the plant to accommodate their entire visit, sir. And I'm sure our secretarial team would be more than happy to coordinate on that account. Sir, I think most of the disclosures are part of it, sir. Yeah, I would request Raja Reddy to individually share some of the presentations if they missed out and they still have any, we would be more than happy to address them. Thank you.
