Dear shareholders, good morning and a very warm welcome to the Annual General Meeting of City Union Bank Limited for FY2026 through video conferencing. As a reminder for the smooth conduct of the meeting, the members participating virtually will be in the mute mode and the audio and video will be open when they speak at the AGM as per the pre- registration. Good morning to all of you. Let us start the proceedings with a prayer. I request all of you to join us for the prayer. Thank you. Good morning to all of you. I am G. Mahalingam,

Non-Executive Chairman of the Bank. I am delighted to welcome all the shareholders who have joined this meeting through VC and also the ones present in person at this meeting venue to our Annual General Meeting today. I hope you and your family members are keeping good health and doing fine. Thank you for joining us and I look forward to a very productive discussion. I have ascertained from NSDL, our service provider for this e- meeting that there exists the requisite quorum to conduct the proceedings of this meeting and for the purpose of the quorum, all members attending this meeting through VC are counted as per Section 103 of the Companies Act, 2013, and the circulars issued by MCA.

Therefore, I now call this Meeting to order.

Now let me introduce the Directors on the Board of your Bank. I am addressing you from

Raya Mahal, Kumbakonam, accompanied by eight Co-Directors, including the Managing

Director and CEO, who are all physically present here. To my left, Shri R. Vijay Anandh,

Dear members, good morning to one and all. I am glad to welcome this August gathering for the occasion of our Annual General Meeting. I would like to take this opportunity to brief you on the statutory provision involved in the conduct of this Meeting. Kindly note that this Meeting is held as per the circulars issued by the Ministry of Corporate Affairs and

SEBI to hold the Annual General Meeting through electronic means. Kindly note the appointment of proxies is not applicable. As mentioned by the Moderator, the Bank has made due arrangements for the shareholders present at the AGM venue to view the proceedings of this Meeting and also for those who wish to speak. The Bank has received requests from few members who registered them as speakers at the meeting, the moderator will facilitate this session once the Chairman opens the floor for questions and answers. It may please be noted that the Chairman of this meeting reserves the right to limit the number of members asking questions and also the number of questions depending on the availability of time. Kindly note as mentioned by the moderator the proceedings of this meeting are being recorded. The members who have not cast their vote through e-voting earlier can cast their votes till the end of this meeting after which e-voting window shall stand closed. Thank you very much Company Secretary. Good morning, esteemed shareholders of City

Union Bank, respected Members of the Board, Auditors of the Bank, and distinguished guests, it is an honour and a privilege to welcome you all to our Annual General Meeting.

Before we embark upon the proceedings of this AGM, it gives me an immense pleasure to extend a warm welcome to Shri R. Vijay Anandh, our new MD and CEO. We are confident that his leadership, vision, and wealth of his knowledge and experience will further strengthen the Bank's pursuit of excellence and sustainable growth. I would also like to extend my warm welcome to Shri K. Subramanian and Shri R. Mohan who have been inducted to the Board since the previous Annual General Meeting. I, on behalf of the entire

Board, wish them a very successful tenure. This Annual General Meeting is a pivotal moment for us to connect with our valued stakeholders and we are hosting this AGM with due regard to the applicable statutory guidelines. The Annual Report and the Notice of this meeting have been e-mailed to all the registered shareholders and with your kind permission, I consider the reports as read. Since a detailed analysis of the economic scenario for the reporting year has been given in the Management Discussion and Analysis

Report, I shall now briefly touch upon the prevailing economic scenario followed by the

Bank's financial performance and the key developments that took place during the year.

Global Economy. The global economic outlook in 2026 so far has been characterized by sharp and frequent market swings, persisting inflation concerns and shifting policy expectations. Relief from the temporary ceasefire in West Asia has quickly dissipated amidst resumption of conflict in July. Persistent inflation has prompted several central banks to raise rates while others remain vigilant. The U.S. dollar appreciated, supported by

August 14, 2026 elevated yields, a hawkish Federal Reserve tone, and a relatively buoyant U.S. economy riding on AI-driven productivity gains. The global equity market remained volatile as investors re-priced their exposure to AI-related stocks. Conflict in West Asia, volatile oil prices, sticky inflation expectations, and fragile public finances in systemic economies pose significant downside risks to the global economic outlook. The global economic conditions and sentiments continue to remain susceptible to the rapidly oscillating developments, both in scale and intensity of the West Asia conflict. While these have impacted the domestic growth inflation outlook adversely, the stronger macroeconomic fundamentals of the Indian economy are helping navigate this global shock resolutely. Indian Economy. The Monetary

Policy Committee of the RBI at the recently concluded meeting on August 5, 2026, voted unanimously to keep the policy repo rate under the Liquidity Adjustment Facility unchanged at 5.25% after a detailed assessment of the evolving macroeconomic and financial developments. Consequently, the standing deposit facility rate remains at 5% and the marginal standing facility rate and the Bank rate remain at 5.5%. The MPC also decided to continue with the neutral stance. Energy prices and supply chain pressures remain elevated and uncertain. The adverse impact is being contained with various supply-side measures. Even though the situation is still evolving, deficient and uneven southwest monsoon amidst El Nino conditions poses some risk to the agricultural sector's outlook and rural demand. Nevertheless, government's initiatives pertaining to crop diversification, including short-duration as well as climate-resilient crops and water harvesting, and conservation, amongst others, are expected to mitigate the impact. Furthermore, sustained momentum in services, continuing impact of GST rationalization, and broadly stable employment conditions should continue to support urban demand. Strong capacity utilization, robust credit flow, and the government's continued thrust on infrastructure are expected to sustain investment activity. While services exports are expected to sustain, merchandise exports will be supported by the recent trade agreements and thrust on diversification. In fact, the figures released yesterday of the merchandise exports goes to support this.

On the external financing front, gross foreign direct investment inflows were buoyant at US

$30.7 billion during April-June 2026, higher than US $26.7 billion a year ago, underscoring the continued interest of global investors in India. Net FDI inflows, driven by higher gross inflows and a slowdown in the growth of outward FDI, also increased during the period.

Moreover, foreign portfolio investment to India has seen a turnaround during June to July

2026 with net inflows of US $7.1 billion after registering net outflows during April-May

2026 as on July 31st 2026 India's foreign exchange reserves stood at US $693 billion approximately adequate in terms of standard metrics of reserve adequacy with import cover of about 10 months and external debt cover of about 91%. Taking all these factors into consideration, real GDP growth for 2026-27 is projected at 6.7% with Q1 at 7%, Q2 6.4%,

Q3 6.5%, Q4 6.8%. Real GDP growth for Q1 2027-28 is projected at 7.3% with the risk evenly balanced. During Q1, key positives of the Bank were credit growth and holding up

August 14, 2026 of asset quality metrics, which were led by reduced slippages. Another highlight has been the strong FCNR (B) deposit mobilization which should support deposit growth in Q2. The margins are expected to be largely range bound in the near term and any improvement will be largely led by favourable portfolio mix shift.

Now let me move to the performance of your Bank. In the above backdrop, our Bank adopted a cautious approach and recorded a reasonable growth rate during the year. Despite the various challenges, that I outlined some time back, your Bank was able to post 24% growth in its total business with deposits growing by 23% to 78,308 Crores and advances growing by 26% to 66,699 Crores. Your Bank also witnessed another significant milestone with the net worth of the Bank crossing 10,000 Crores mark and standing at 10,458 Crores as on March 31st, 2026.

Profitability. Our bank's overall performance has been strong, driven by our focus on customer-centric approach with the total income of the Bank at Rs.7,909 Crores as compared to Rs.6,732 Crores last year, recording a growth of 17%. The net interest income stood at Rs. 2,830 Crores as compared to Rs 2,316 Crores last year, recording a growth of

22%. The net interest margin of the Bank stood at 3.74% for the year ended March 31,

2026. The yield on advances decreased to 9.75% from 9.79% during the financial year due to RBI's repo rate cut. The bank's operating profit increased to 2,014 Crores in FY2026 from 1,679 Crores in FY2025, mainly due to increase in net interest income and non- interest income. The operating profit in net interest income constitutes 71.2%. The total provision increased by Rs.133 Crores to Rs.688 Crores from Rs.555 Crores during the previous year. The bank recorded a net profit of Rs.1326 Crores for FY2026, as against

1,124 Crores during the last year, registering a growth of 18%. The investment portfolio of the Bank rose to 19,019 Crores in FY2026, as against 17,346 Crores in FY2025, recording a growth of 10%. Out of this, investment in government bonds remained at Rs.18,873 Crores, constituting 99% of the total investment. During the year, bank booked a profit of 97 Crores by sale of securities against 55 Crores in the previous year. And the profit from a foreign exchange operation stood at 61 Crores. During the year, the total yield on investments marginally increased to 6.53% from 6.50%. Net owned funds and capital adequacy ratio.

The paid-up share capital of the Bank increased to Rs.74.30 Crores as on March 31, 2026 from Rs.74.10 Crores in the previous year on account of allotment of ESOPs. The net worth of the Bank stands improved to Rs.10,458 Crores from Rs.9,417 Crores the previous year.

The bank has maintained a total CRAR that is Capital Adequacy Ratio of 21.9% as at

March 31, 2026, which is well above the norms prescribed by RBI.

Rewarding Shareholders. In pursuance of a bank's consistent philosophy of rewarding the shareholders, year directors have recommended a dividend of 200% for FY2026. During the current financial year, the Bank has also issued bonus shares in the ratio of 1:3, reflecting the Bank's strong capital base and commitment to creating long -term shareholder value.

Branches. During the Financial Year, your bank expanded its branch network by adding 74 new branches, totalling 949 branches and 1,764 ATMs as on March 31st, 2026. But as on date, we have 1,000 branches spread across the country and I take immense pleasure to say that we are now present pan-India, from the valleys of Kashmir to the shores of

Kanyakumari.

Technology and Automation. Our bank has implemented various technological initiatives which has been elaborated in the Director's report. Amongst other initiatives, I would like to make special mention on the implementation of robotic process automation for generating periodic reports, removing manual intervention and facilitating error-free reporting. The bank has also implemented AI based system from credit assessment to approval of credit facilities. Now, let me come to awards and accolades. It gives me immense pleasure to inform you all that during the year our bank received 29 awards and accolades from various institutions like Indian Banks Association, Department of Financial Services, Express

Computers, Cinex, etc., in the areas of leadership, digitalization and technology, cybersecurity, AI, and IT risk management.

Risk management. The Bank has in place a sound risk management architecture established with the active involvement and supervision by the Board of Directors. The Board of the

Bank has constituted a risk management committee of directors which assesses the Bank's risk profile and key areas of risk in particular. The Bank's risk management team is headed by the Chief Risk Officer who reports directly to MD & CEO and the Risk Management

Committee of the Board. The risk management practices of your bank have been aligned with the industry practices and are adaptable to the dynamic operating environment and market conditions.

CSR and sustainability practices. Beyond financial performance, the Bank has always remained unwavering in its commitment to society, with CSR forming an integral part of its institutional character. The Bank's CSR wing, CUB Foundation, is continuing to play a vital role in supporting the community in the areas like healthcare, education, environment, preservation and improvement of water bodies, preservation of the country's rich culture and heritage. During FY2026, your bank spent Rs.21.32 Crores towards CSR activities that has translated into tangible progress in the areas of education, employability, and women empowerment in rural India.

Human resources. Human resource development and industrial atmosphere play a prominent role in an organization's growth and our bank is maintaining cordial relationship with its employees at all times without a single occasion of employees unrest in the history of CUB. The Bank has always placed the well-being of its employees above everything and it has reinforced its commitment through a diverse range of welfare measures and benefits

August 14, 2026 like ESOPs, Performance-Linked Pay, Ex gratia, etc. As on 31st March 2026, the Bank has a total of 8,894 employees.

And the second question is, sir, there is a lot of money flowing in mutual funds right now. So, should a new policy be launched by the City Union Bank like, your business will grow, and through the policy, your business will continue to grow. Like, for adults, for senior citizens, should a policy be launched that will continue to grow your business? And the non-NCLT companies that have gone, so tell us a little about how your bank is recovering that money. And somehow tighten it, sir. Sir, can you hear me, sir? Yes, sir, we can hear you. Respected Chairman and Board Members, my name is Santosh Kumar Saraf. I am from

Kolkata. Hope all you are in safe and good health, sir. I thank you, CFO, for very nice balance sheet, sir. I have only one question to Chairman. Considering the exceptional strong capital position, what is the Board internally determined optimal capital accuracy level, and how does management propose to deploy the capital in the excess of level to improve risk, adjust return on the equity. Especially, could Chairman share the Board need to target for

ROC, explain whether Board intend to achieve this to higher credit goal, improve asset utilization, greater operating efficiency, or efficient capital allocation dividend policy, while maintaining a prudent buffer for the unforeseen credit regulatory risks. I would also request the Chairman to provide shareholders with a clear, measurable target of ROC and capital efficiency for year 2026-27 following two years. So, that shareholder can objectively assess whether sustainable capital base is translating in the common standard valuation. Thank you sir for giving opportunity.

The results of the first quarter were good, and there was an increase of about 25% in our results, is that 25% in profit, or growth, which way, tell about it. Retail, agriculture and RIM what is the position, what is our NPA, tell about it. Now it is

2026, in 2018 USD 30 lakhs scam have it cleared it or anything left. Some money was transferred from New York to China, some to abroad, and the loss was for the City Union

Bank. Has it been recovered or what is the position in it? Can you tell us about it? we will get more information about the Bank. Recently, there was a sting operation in Delhi. This was the news of Dainik Bhaskar. So, the employees of the City Union Bank were found opening a mule account. So, what is the Bank's awareness about that? We will tell you a little about that. Some bank employees along with their agents. I mean, the addresses are fake. And they are taking some commissions to open such accounts for cyber fraud and illegal transactions. Some such transactions have taken place. We have received some clues.

So, Bank's name is defamed by this. What are you doing about this? If you tell us a little about this, we will get more information. In recent years, our branches have increased. I would like to congratulate you on this. The salary position here is that of an educated person, who is an accountant, junior accountant is given a salary of Rs.20,000 to Rs.25,000.

So is this salary appropriate? Our business is also listed in the share market. And our BSE code is 532.210 CUB symbol. We are respecting that. We are giving this salary to our

August 14, 2026 junior accountant. How much is the salary of our CS sir and the similar banks? You are in a private bank, sir, so there is also some gap there. So how much is the salary of our CS sir and how is the salary of similar private banks and CS? Because they are given more responsibilities, Company Secretary, Compliance Officer, And apart from that, I think some work of the Bank is also given to handle the business. Our deposits are big. This is a very good thing. Sir, I am a little worried about the borrowing. This is 2,169…

Kamakodi, former MD and CEO for the services rendered during his tenure as MD and

CEO. His name will be remembered as long as the bank exists. First of all, welcoming Mr.

R. Vijay Anandh, and we expect, as the MD and CEO, we expect a lot of things from you,

August 14, 2026 sir. And we definitely expect the services which they have rendered to other people. And we will be able to get bonuses as long as we can. Second thing is the AGM report has come out very well and I appreciate the Secretarial Department for bringing out this. And the page number three, if I see it, entire things will be known and there will not be any problem. As such, only one page is sufficient for the entire books at all. And there is a rumour saying that our bank is being taken over by a new private sector bank. This is true, sir. you conduct a physical meeting, because this is very difficult for us to, you know, for the technology, I am a retired person and it will be very difficult for us to do all the technical items, but for your Secretarial Department's help, I will definitely not have come on to the line. And as far as the CSR is concerned, you are doing a great job, but you are concentrating only on one part of the country, Tamil Nadu. But please see to it that other places are also included in that. And finally, I do not know that it is the right thing for my part to say this, I am an account holder of your JP Nagar branch. Recently, they have shifted it to the congested area, sir. We are not able to access it at all. Parking place is not there at all. And the branch premises somehow very small. We are not able to sit even before officiating. Please see to it that something can be done. But the earlier premises were excellent. There was no problem at all. Anyway, thank you very much.

Coimbatore. I am speaking to you in three capacities, one as a shareholder and the proud shareholder with an increase of 12% of my portfolio this year on curve. That is showing what you call interesting, what you call confidence in the management and the bank and also as a customer and as well as a CSR professional. So my compliments to the entire team for a wonderful results and also welcoming Mr. R Vijay Anandh and also my special

So with that I have put some questions in the 2024 AGM based on which one of the questions was, before I entering into that, my compliments to the management, employees and leaders, lenders, customers for an excellent result. Also, the Annual Report

2025-26 is well presented with clear layout, print and ease of reference. But I had few points to add for its improvement. Page number 1, it states there are 1000th branch inauguration in FY2026. Number is being shown, but it is not done in FY2026. It is done beyond that. So this gives a wrong impression that we have already crossed 1,000 in

FY2026 itself. Maybe one option would have been that we should have put it incorporated in the date of that particular opening date. It would have been much clearer. Now page, 3 is a well-presented 15 years of different ratios. So hope you can give market capitalization also can be one of the points thought forward. Now, page number 107 to 115, that is basically the balance sheet, sir. It is all shown in rupees in thousands. Elsewhere, everything is in Crores. I have never seen an Annual Report. I attend almost 40 AGMs in a year. I have never seen an Annual Report which says, and for a company with 1,000 plus rupees crores as reserves, why should we go for reports in thousands? It is quite misleading to read it. So kindly correct it. And also in the list of branches in 2024 AGM itself I told the branch number 274 Vadavalli is given as Vadavalli though it is coming under Coimbatore. So that correction has been promised, which has not been happened. So I will be again searching for it whether any value for shareholder speaks has been considered or not. So kindly look into it. And also and I congratulate the schedule and the plan of this AGM. In a good way, you have invoked the Lord Ganesha with a beautiful rendition by the two girls and that too by a Dikshitar Kriti. Congratulations on the same. And this is the only AGM which starts like that in this fashion. So kindly continue the system. So as I said, I have few more questions, sir.

We spoke about digital as one of the thing which I have seen in Chairman, I mean

Managing Director's speech. I mean addressing the Annual Report. I am looking at it, the bank looks, he always seeks for KYC. Why no KYB? That Know Your Banker. I am specifically raising this question because there has been a change in BM and RDM in the area in which we live and there has been absolutely no contact by them in the last six months. So I have to make them, call them so many times, and all those things. So I had a few issues also, so which I think we can do that. Maybe that can be an opportunity to meet the customers. Whenever there is a change in branch manager or RDM, we can reach out to the customers. Maybe you can call for a customer meet at some places. Even a well-wisher, like speaker shareholders like us can participate. I have also offered my services to you as a service provider qualified CSR professional maybe on whatever way you feel like capacity,

I can serve you. But nobody has approached me. It is quite saddening. I have a few points.

And there was a change in the website of the bank in net banking. So to me, it looked like a very fraudulent site. So it is subsequently getting mails and everything going on. But the site itself looks like very dangerous. Because I am quoting this in the context that there has

August 14, 2026 been no communication that the site has undergone for a change. And there is recently I am facing unreliability in the UPI mode, in the scan mode, which I have called the branch manager and explained and demonstrated to him a few days, a week or 10 days back. And also explained to the RDM. But I can kindly take it up, okay? So I also suggest that the individual shareholders who participate as a speaker shareholders, they spend a lot of time and energy in reading the Annual Report and sharing their thoughts in the interest of the organization. I asked a question in 2024 for AGM. How many shareholders of us are the bank deposit holders? Because they are the best brand ambassadors. So whether you would have done some work on that, there is no feedback like that on the annual report, nor anywhere. Now coming to the CSR portion, Rs.25 Crores is a good amount for a CSR. And there is Rs.6.86 Crores has been unspent. And page 33 to 35, the picture at page number 30, it is called as it is titled as sustainability. I do not think there is any sustainability in that, putting a garden on top of in the roadside and page number 44 Goshalas. I think it is a good concept, but there can be better Goshalas. I think for a bank to do a Goshala of this nature, which any individual can do, I think we should go for a modernized Goshalas, because the

Gomadas are something which we should flourish. And also, I have also suggested to your earlier branch manager and our RDM and everything, this is an area in which where we leave lot of senior citizens. And I can be an ambassador for them, or I can help you in mobilizing more funds. In the process, you can also take up some gardens available here and develop it. And there can be a win-win situation in terms of mobilization, what you call camp, deposit mobilization, as well as giving back to the society. Kindly look into it.

And also I would like to say, specific to a branch number 274, which is the most unsafe branch I have seen in my life. Why I am telling is there are two reasons. Because I am a safety professional too, sir and the bank is an electrically unsafe, because just adjacent to the branch in the same premises is an ATM, just adjacent to the common wall sharing is a bajjiwala. So always there is fire. And this branch, in front of the branch, is a very, very, very big warehouse. So there are a lot of truck movements. And this branch is in the opposite direction of the normal traffic. So anybody who has to negotiate this, and I do not know what are the criteria of site selection, kindly look into the criteria of site selection. So

I always am afraid of visiting this branch. And also the moment you visit the branch, it is a very shabby branch to say, because its doors are all unhygienic. I do not know in which era it would have cleaned. I do not know. Casually, I have told them that, but there is no thing.

And there will be always dust in the entrance. So there can be a fall and trips are very bright. And I am wondering how many it is a possible risk. And also, this particular thing is they are not geriatric compliant nor it is PWD compliant, under the PWD Act. So kindly look into all those aspects. And also I hope that, hopefully I can be there for the next AGM physically, since I am staying from Coimbatore very close by. And also that you are doing the age old, you are doing a very good program. I understand that the CUB is one of the sponsors for the Thiruvaiyaru festival. And that is never captured in Annual Report and as well as the Pongal Festival of Bharatiya Vidya Bhavan in Coimbatore. So you are doing a

Sir, the question is about this as per RBI order in May 2026, the bank has imposed the monetary penalty was 10.10 lakh relating to certain priority sector agriculture, the loan changes to non-reporting of mandatory SSG credit data to the credit information compliances. Earlier in February 2024, RBI had also imposed a 66 lakhs penalty related to the certain financial norms and also income recognition and asset classification and KYC related complaints matters. I appreciate that your observation can arise in any banking institution, but complaints are particularly important for banks because the trust governance is very important. So please give some

August 14, 2026 information. And also what is the corrective and preventive measures are being implemented to ensure that similar RBI observations do not occur? Sir, another question.

Board has strengthened its internal audit, compliance monitor and risk management systems, particularly for the priority sector lending KYC asset classification for the report.

Sir, NPA, the credit control. Sir, there have also been historical concerns regarding the NPA divergence including reporting the identified during the Financial Year 2022. So my question is, what improvements have you taken to the credit underwriting early warning systems, and independent review mechanism? I would like to know. Another question is, sir, any constructive long-term interest, the City Union Bank and all the other shareholders, so these are the additional controls for the current proposal and subject to adequate independent scrutiny for the non-duly consent. Sir, I support all the resolutions. No more questions and Kamakodi sir and Mr. Vijay Anandh sir I support all the resolution, entire management, and the CFO team, wonderful achievements. And especially CSR, you are doing tremendous activities. I have seen the photographs earlier of the temple area. Before picture and now picture is very impressive, sir. What are the steps that we are doing, sir, to reduce the other expenses, legal professional charges, and the audit fee? Myself and my team are running a

And so what are the steps that management is taking to overcome the NPA? Because NPA is a major drawback for a banking industry like us. So in that case, how is the management sustaining to overcome the NPA? And what are the new branches that have been established in the past one year? How many new branches have come? As of date, how many branches are there? Whether any new ATMs have been laid or set up, sir? I would like to know from you, sir, if I can offer property in Chennai. I think I had sent a request last year also. So if any ATM setups are being taken up in the upcoming year, you may kindly get in touch with me, sir I can give my property and at the same time, I would also request the management to take proactive steps on the online fraud which are being happening in the banking industry. Today, AI technology is growing and even the fraud people are also using the AI technology. So in that case, our bank is ensuring to protect our customers through online bank fraud systems. And every year, we can see that some of the other frauds are happening on a very often basis. So in that case, we have to take some proactive steps. And we can have some external or internal agencies who can protect our system from getting such kind of scams. Then the bank has given an outstanding performance. And what is the outcome of the previous quarter? I would like to know from you, sir. Nothing much to ask. Hope the company takes all our questions in the right spirit. Now, a rural-based bank with a glorious past of 23 years, 123 years of impeccable service to the society, CUB with 1000 branches as on date, from Kashmir to Kanyakumari, moves forward in the path of progress as stated by

MD, Mr. R. Vijay Anandh. Deposits, total business assets, net worth, CASA, net interest income, net interest margin, net worth, capital adequacy, non-ratios, all the ratios as stated in a 15 years progress chart, goes to prove that the bank is on the right path. Now I have certain questions to ask, please. What is the present net interest income percentage? Non- interest income percentage like treasury income, forex derivative income, etc. Loan loss provision is adequate enough. Domestic net interest income and net interest margin expectations during 2026-27. Deposit mobilization versus or is it considered satisfactory any idea to motivate and attract NRI deposits what is the present gross and net NPA ratio what is the present bad loan ratio, adequate recovery mechanism is present adequate enough, what is the present gross advance like agriculture loan, SMEs loan, then gold loan, corporate credit, etc. I heard from Chairman that an attempt has been made to introduce AI also. Very good. Regarding the CSR mobilization spending about Rs.22 Crores, the pictorial representation speak to themselves very excellent manner in which the CSR have been utilized. Now regarding CSR utilization, I have a small doubt, sir. You have provided a dialysis machine to a dialysis center. Are they extending the benefit to the public? Are they freely giving the dialysis or at concession rate? This effective follow-up is necessary in order to see that the CSR fund given by the bank is fully utilized for the public. That is all.

Q&A on the given agenda and the operations which we had last year. I would like to know that how many branches we have and how many of those branches are profitable. And regarding the non-profitable branches, are we going to continue with them or we are going to consolidate and in a way close them and then have new branches elsewhere? So if you can kindly throw some light on this. The another thing which I wanted to know that what is the NPA recovery during last financial year? And what is the target which the bank have internally set to lower down the NPA in this current financial year? So these are a couple of questions. If you can kindly give me some input, I will be very glad to hear them. And you see, I have been invested in this, our bank, for the last several years. I thought that the wealth which the other private sector banks have created, we will get equal, I want to say, growth in our wealth having invested in the City Union Bank shares, but it has not happened so. Primarily because of the net profit growth which have been very slow in our bank. So I wish and I believe that the management is capable of doing great in future and our wealth will proportionately grow as the other say private sector banks in India are.

Very good morning. In an organization, a change of leadership is inevitable. We have seen many people and Narayanan sir, who had a long innings a charismatic personality, a trusted, created trust among the public by the disciplined group. As many shareholders told, very good bank. During his relinquishing office, in the interest of the shareholders, 1:3 bonus,

2% goes to enhanced Capital, 1000th branch is open. Till people like me did not buy a stock option, he gave 12,000 as an excursion. Even the Chairman did not point out. Then today,

Vijay Anandh sir, this is the first meeting. I would congratulate him. We are all looking at

AGM. On behalf of our shareholders, I wish you for a full cooperation for you, for the development of the bank. We will take the bank in the right path of progress. Mohan sir, has a 75 year connection with this bank. His father was who was with City Forward Bank came to CUB. His service, each and every stone will break. I am speaking about his contribution.

Mr. M. K. Subramanian has come. He was in the top position in TCS. G. Shankaran has come. What is great about our bank is that all literates and great intellectuals are decorating the Board. Feather on the cap, no one pointed out, IIT Shri Kamukoti, has joined here for the first meeting after getting his Padmashri. We cannot felicitate him because our shareholders are scattered. So, by clapping their hands, you please take this as felicitation.

Even when he gave bonuses in the banking industry, I used to think that the share value would decrease if it was liquidated. In the banking industry, you can't generate cash to that level like FMG. I thought many obstacles will be there. Because of very good performance, banks are doing well. In the banking industry, we have a lot of problems. It is difficult to deposit money. There is swimming money in FMG, Procter & Gamble, Calcutta, DCS,

Director Pasupathy sir. When he was there, he used to give 3 bonuses and go to Enhanced

Capital for Rs .100-120 per share. Can we do that in the banking industry? No, we cannot.

Even then, we have to put in so much effort. We have to deposit and the cost will increase.

Our game is within the spread. That is why we need to make some money in the deposit and we need to advance that money well. We need to make sure that there is no slippage. We need to maintain CRR, SRLR, CD ratio. Vijay Anandh sir has written in the report itself that he will concentrate on the agriculture sector. We have to concentrate on that. It is a low yielding advance. The Chairman has written in the report. If there is a war in Ukraine, a war in Gaza, petrol, oil, inflation, whatever it is, the ultimate sufferer is the banking industry.

We are all in the receiving end of the seller's market. With all the difficulties and problems, we have been able to give dividends consecutively. We have shown a 25% growth.

Directors are well rewarded. Staffs are highly compensated. Of course, except for the retired staff. I would like to say something. When I look at the staff salary, I am amazed at that time. There were only 15 of us sitting on the terrace. Balasubramanian sir, K.R.

Rangamani, all of them did not join then. Only later did they join, in direct recruitment.

There were 15-20 of us sitting on the terrace. Narasimha Acharya used to get Rs.5 in a waste note. There was N. R. Ramanujan from Pachamal. He was a very Hindu correspondent. He was the one who used to give vote of thanks. He used to say that the total business was Rs.4 Crores and there were 15 of us. He was the Assistant Secretary of V.

Narayanan. When I saw his salary, I told him that I was going to talk to Mr. Narayanan. He said that he will talk to him at the end. Everything is going on well, but I want to make a point. The salary of Rs.800 to V. Narayanan as Assistant Secretary and that too as

Chartered Account is very, very meagre. He was a chartered account. He was an Assistant

Secretary. He was only paid Rs.200 as salary. The ORS said in that meeting itself that he will enhance it to Rs. 1,200. Kamakodi sir and his father Narayanan sir have done such a service to the bank. We have to remember that at this time. There was a shareholder who pointed out that he is the MD for Rs.31.3 Crores. I would like to take this opportunity to thank him and his team for their hard work. We all applaud and clap for him. Everything is going well. As a shareholder, the bank is in very safe hand. Everyone is very intellectual.

Who is not interested in bank not involved should not think get into it and get caught by taking unnecessary loans and big tickets. All are from respectable salary. Vijay Anandh has told that he will maintain the legacy of bank, traditional value. I wish them all success.

Congratulations to the CUB team and congratulations to Prof. Kamakoti for Padmashri. I am attached to this bank for the third generation, my grandfather, father and we are attached to the bank. My three questions, the bank is now, the gold rate is under severe fluctuations, whether bank has taken any major precautions for these fluctuations, number one. Number two, the bank HR policy, I am seeing that the bank's employees are not trained properly. If you go to a bank and if you ask any data, they have to go and verify with the other people, whether HR is working in this bank with the proper training to the employee or not. Earlier, the problem was not there. Nowadays, employees are not able to give you a proper reply to any query raised by the customers. Second thing, what is the attrition level? If attritions are more, then the customer may move from this bank to the other bank. Any specific attention has been taken for HR. HR is the main criteria for the success of the bank. I am feeling that

HR is not doing well. I had some 2-3 experience, I wish I do not want to give it in the public, but HR is very bad in this bank. Attrition level is more and employees are not fully knowledgeable about the product. They cannot attack the customer properly. Management say, the Board of Directors say they should take a proper action. Thank you.

Please come down here and take my love. I am going to talk about the headcount later. I know you very well, Chairman. I have seen you in many meetings. Generally, it is not an ordinary thing to run a bank business. It should be done in the same way as circus performer balance on the rope. Retailers should also be satisfied and bank also should be developed.

In today's time, banks have given a lot of rights to private. The existing banks are in a lot of trouble. If you look at it, history speaks for itself. First Bank, IDFC, IndusInd Bank, there are many such banks that are in trouble. Without all that, if they have been holding on to this bank for 122 years, that is the victory of their hard work. We cannot deny that. My best wishes to them. You have given a free share for every three share. I am happy about that.

Likewise, you have given Rs.2 for Rs.1 value. It is a profitable product. Even though there are opportunities to give a higher price, due to the excessive allocation, we are not able to

August 14, 2026 give it. In the future, I would like to request you to increase this even more. I would like to request you on behalf of the investors. Next, if you see, there are three sides, right?

Everyone will give 10 years of agreement, you have given 15 years. Please continue with this. Thank you. There is a small deficit in that. In 2025-2026, the paid up capital is 74.30.

Last year, it was 74.10. How did it become 20? To be precise, it is not even 20. It is 20.61.

How did this rise occur? No details have been given. It should have been given. Similarly, you can say that you have created thousands of bank loans. You have said in your own words that you have set up a branch in Jammu and Kashmir. Similarly, the branch is less now. At the same time, NBFC, Shriram Finance, Sundaram Finance, and some of the people in the same industry have increased. There are 1,600, 1,700 and so on. Why did not you take care of it? You should implement programs that will not affect the bank. I request this. Next, about branches 944, 1000 including ammachaitram. Why did not you do that?

When I spoke to a shareholder from Coimbatore, he said the same thing I said last year.

Why do you invest in thousands and not in crores? You have invested in crores. You have invested in NPA, non-performance assets in crores. Similarly, everything should be written in a way that is understandable. My opinion is that it should not be misinterpreted. Next, on page 7, you have mentioned the branch number of Kumbakonam. The telephone number who have put 044. It is not 044. If you look at your income and expenses, the bank's income is 16.77% of your gross profit. To increase this even more, your efforts are necessary. If you look at NBFC, it is 22-24%. For example, Bajaj Finance, Tata Finance, and so on. In

NBFC, the Reserve Bank has approved 12 such companies. This is the news in the media.

Next, you have made an agreement with Sastra, a technology company, called Artificial

Intelligence, for improvement. My humble opinion is that this should be done carefully. The reason is that even in the Supreme Court, they have told based on AI technology decisions should not be made. Similarly, if you look at it, digital, UPI, all these systems, how much these schemes have increased in India. There are useful for the future. At the same time, without finding a way to find out what is the benefit of it, what is the value of it? We have been doing this for a long time. In UPI, the Parliament has passed a law amendment. They brought it to the ATM card. That if we withdraw more money, then there is a charge. If you want to pay a fine for anything, how will people come forward to use it? Why should not banks give a mandate? Why should not they respect you? When it is a people-based plan, you have to give a mandate for it. That is my request. You have to do that. The reason is, look, a magazine has come out. I did not say it. Some 54 people have ran away from India and took loans. But no one has ever come back to India even when they said they should be departed from the foreign country. The reason is that our legislation is so weak. We think it is strong, it should have been strong, it should have been in force. It is not. We have to pay charge for UPI. Similarly, they say that you should not pay attention to insurance. At the same time, what does Prime Minister Modi say? By 2035, every citizen of India should have an insurance. Even before this, when someone was talking on VC, he said, can we talk about this? I will talk for 5 minutes. I would not take much time.

No, I understood when you were holding the mic. That is why I told myself. There are a lot of things to talk about. I am not saying this to talk. I am saying this to support the people. I am saying all this because you are paying a lot of attention to the insurance. At the same time, you have said that that is why the income has increased. If you look at this, in the first quarter of this year, the income has increased by 139.27 Crores. Last year, it was 97.56 crores. If you pay attention to this, how will you be able to focus more on your contribution? This is my expectation and question. Next, you have done a wonderful project called CSR. What have you done in it? Women's savings initiatives and financial literacy awareness. You are doing two jobs at the same stone. That too in the village. The awareness that the villagers have, the awareness, it is not in city. How am I saying this? Today, see how many people are in debt, unable to pay credit card and are in so much trouble. Through this debt, they are meeting the monthly expenses. One person came and asked why not start a mutual fund. It is not so easy to start a mutual fund. Today, in India, in 144 Crores, only

4% are investing in mutual funds. There is still no concern about mutual funds. There is a shortage. Last year, 4-5 years ago, there was an agreement, but not now. In the same mutual fund, they say it is an NVA, Net Value Asset. Who decides that? What is the explanation for that? What is the truth behind it? Who knows? No one. So, even if there is no expression in anything, does it protect our private property? Does it protect it? I do not want to talk more because sir as already interrupted before I spoke. Thank you. Greetings. A participant from Coimbatore expressed his opinion. What is it? I do not know if many people know or not, but AGM should be conducted directly. On 1 April 2026, Central Government has issued a statement. Two of the three VC meetings can be conducted by the VC. One should be conducted directly. But before that, our party has been running it for two years. We need an expectation that it should always be conducted. Thank you.

Before I begin to answer the queries at the outset, I hereby express my warm gratitude to all the stakeholders for their conviction and giving me an opportunity to serve as the MD and

CEO of City Union Bank to carry forward the legacy of my predecessor, Dr. N. Kamakodi.

I also thank all the shareholders for spending the valuable time to produce the bank report and to participate in this meeting. During the last AGM, when I participated in the capacity of the Executive Director, I witnessed the personal contact, connect and trust to the shareholders and the customers have with the bank even in this digital era. And that is precisely the reason why I have, we have used the word digital in my opening speech, where the customers seldom come to the bank for the requirements. It was the moment I realized the responsibility, the position of MD and CEO in our bank carry and it just began the value creation. Without taking much time or without wasting much time, let me now answer the queries. I will try to answer the queries posted first physically and then I will move to the questions asked through the net and then I will try to answer some of this. Sir,

Gold Loan asked, first question physically. I think Gold Loan we are quite controlled. As we speak today, our LTV ranges between 62 to 65. We are well covered and we have a good tracking mechanism in terms of mark-to-market. If you look at our first quarter report, we had 15%, 20%, 25% impact on gold loan, rest assured I think your bank is in safe hands with respect to gold loans should not be an issue. So note out the points on banks HR policy training and we will definitely work on this and probably next year you will see some remarkable improvements if you have seen anything wrong in this place. You spoke about paid up capital, 74.1 and 74.3. We gave it to ESOP. It is on page 9. You asked why the branch expansion is not aggressive. Before starting a branch, we see what we invest, how we invest, how much profit we get from it. We are doing a lot outside of Tamil Nadu. We check the liabilities and assets of each branch. Rest assured, we will be doing 50 to 60 branches in a year. Since Dr. Kamakodi retired this year, we pre-poned everything in April.

So, this year, we will be doing 2 to 3 more branches. As usual, we will be doing 40 to 50 branches in a year. You have asked about other income. You have said that other income has gone up and you are focusing on that. That is a valid point. But what I am trying to say is that every year 100-150 branches are going up. When 100-150 branches are going up, the income is also going up accordingly. But in our bank, we are doing Rs.140 Crores with

1000 branches when we compare it with others. So insurance is not such a big priority. I just wanted to reiterate this fact. Thanks a lot. This was the physical questions asked. So the question from Mr. Srikanth Jhawar was QIP resolution 250 Crores, loan policy for mutual funds, business potential. Mr. Santosh Kumar Saraf, what is the growth internally planned?

How will the bank improve the efficiency? Mr. Manjit Singh was asking about retail and agri and NPA, loss on SWIFT, views on mule account opening, and how many branches opened last year? So these were the questions which were asked by Manjit Singh. Retail and Agri NPA will cover it in the general session and loss on SWIFT any recovery made, we have made around 12 Crores recovery and 3 Crores spending is with the court. Mule account opening is a very, very important aspect which we are focusing as we speak today.

We have got into Jaagrookta. Jaagrookta implementations are happening currently in the bank and we should go on line. It is currently in UAT as we speak. We should go online in the month of September. So hopefully the mule account riskiness we are trying to reduce as a bank. This is what it us all about mule account and we are taking utmost care so that we as a bank try to get mitigate from this.

Mr. Muralidharan was asking about appreciation to the then MD Dr. Kamakodi and welcome to new MD. Thanks for the same and thanks for the bonus issue and dividend.

Annual report has come out well, error 1000th branch, yes, you are right sir, Mr.

Muralidharan sir, we will rectify this and error is regretted. Balance sheet in 1000 instead of crores, as per the RBI regulation we are providing, anyway we will go back internally and check whether there is a room for making it in crores and surely we will do that in the subsequent reports. Shareholders deposits with the bank, we will submit this through the e- mail and the bank has to do more for senior citizens on the deposit rate, definitely share

August 14, 2026 point noted, we will try to address the same. And other major questions are with respect to growth, appreciation and dividends. So I will try to cover it when we address the general session. This is all about the questions which has come. Thanks a lot. So let me move to the answers which broadly will cover all the questions, which has been posted. Inflation and its bank impact lending, deposits, cost and profitability for the bank for FY2027. Profitability arising from easing of regulatory prescriptions, bank's preparedness on cyber security, expansion plans, employee productivity and training, competitors, capex, CSR, post- retirement benefits. This was another question which he has asked through the e-mail post- retirement benefits given to former Chairman Sri. Balasubramanian. These are the points which we will address it in the next couple of minutes. Though some of the queries have been already answered in length through the e-mail, I just want to consolidate and deliver my response. If the inflation remains within the RBI tolerance span, we would keep the lending rate and deposit rate intact. There would not be any changes on the lending and deposit rate. As regards to the profitability, we are confident of getting 1.5 ROE, maintaining the 1.5 ROA which we have been maintaining for last couple of last decade almost so we will definitely try to maintain this 1.5 ROA and then would not be any change in the goal post. With respect to financing the infrastructure projects and logistics projects I am sure you're aware the bank entered into the agreement with IMF and we got the money only to fund the solar projects and we are quite active as you speak, in solar projects whereas in logistics is something which we do not want to get into this right now whereas we are very keen on high projects as well which improves the infrastructure economy of our country. Liberalization of portfolio investment norms would not yield any benefit for the bank in the foreseeable future as the share of investment by NRIs or PIOs on our equity is not significant with us. The bank has in place the proper cybersecurity framework, including detection, recovery, crisis management, in line with the regulatory direction on the top. I just wanted to add that we are blessed with Professor Dr. V. Kamakoti, the man who himself is trusted by the nation. And we are seeking his advice for CUB. So when the nation is trusting him, obviously, CUB should be very happy that we are blessed to have you as a Director, sir. Optimizing workforce and efficiency and maximizing per employee, the value creation has been core of our strategy initiative and we are fully committed to do the sustainable growth through the operational efficiency, digital enablement, and strategic talent deployment. As a bank of all schedule, commercial banks are competitive to us. We have been growing consistently for the last 10 quarters. Someone has questioned on the competition. I think the strength of the bank has been in asset quality and the MSME book.

If you see the asset quality of our bank, we have been on the lowest trajectory on the gross

NPA, net NPA and even our SMA 012. We have been saying this in the multiple forums.

We have got into the least number and as we speak today, we are less than 3.8% which is lowest in the decade. The capex for the next three year range was one of the question. We expect this to move from 240 to 270 Crores. Predominantly, we are investing in IT infrastructure. As for the statutory prescription during the reporting year, we have spent an

August 14, 2026 amount of 50 lakhs for assisting senior citizens and old age homes. There was a question on human resources expansion. The human resources expansion HR is predominantly will be around 10% to 15% as we expand the branch for the year 2027 and 2028. The performance of the bank has been consistent and the portfolio quality has been improving. We have not seen any impact with respect to the business either through the West Asia crisis or any other henceforth. And this is the point which we wanted to, I just want to touch upon for a minute with respect to the queries received from one of the shareholders and more than ex- shareholder, he is one of the ex-employee of the bank who has raised this question, post- retirement medical benefits given to our former MD and CEO of the bank, Sri S.

Balasubramanian, who was the pillar of the bank, who took this bank to the next level. The bank did not provide him, I just want to reiterate, the bank did not provide him any car facility. The bank has given only a chauffeur and the fuel expenses for the use of his personal car for effectively discharging his responsibilities towards the CSR activities of the bank in the capacity of the Chairman, CUB Foundation, which was duly approved by the

Board. I just want to reiterate, this process has been duly approved by the Board. We have not taken any zero view on Shri Balasubramanian. The ESOPs are generally granted to employees for the contribution and the growth of the bank and create the sense of the ownership. Shri Balasubramanian is no exception to that. I do not need to say the contribution of Shri Balasubramanian to the CUB. People know here, the shareholders know here, the investors know here, the regulators know here. So, he has been given the

ESOPs as per the bank policy and duly approved by the Board in accordance to the ESOP scheme and shareholders in the statutory prescriptions. Some of the NPA classifications and

OTA settlements and accounts were written off. The shareholders and the ex-employee has raised that he has not been fine with this. I just want to give a statement that the regulatory norms, the settlements has all been done as per the prescribed regulatory norms and the appropriate approvals have been taken post that OTS, that is one time settlement. The regulatory authorities have duly vouched and the same has not given any adverse remarks on the same. So we just want to reiterate the fact that everything is as per the policy. And one more question on Sri Balasubramanian was medical benefits given to him and his family members. We just want to reiterate the fact that this has been duly approved by the appropriate authority and the board. We have not taken any shortcuts for providing any facility to our former MD and CEO and Chairman. This has been done as per the law of the land and as per the policy and following the duly regulatory requirements. K.U.V.S. & Associates Practicing Company Secretary, Tiruchirappalli as Scrutinizer for conducting the voting process in a fair and transparent manner. The voting results on the resolution shall be declared after receiving the report of the scrutinizer within two working days of conclusion of the meeting. In this regard, the Company Secretary of the bank is hereby authorized to declare the e-voting results, intimate stock exchanges and holds the same in the website of the bank. Anandh, will also continue to receive your support and good wishes. And he will steer the bank to greater heights. Chairman, Managing Director, Board of Directors and my dear shareholders, executives of the Bank, good afternoon. This forum is very familiar to me for nearly four decades. I have done the roles in different capacities. Today, I am doing on behalf of the shareholders. 50% of my job has been done by G. Sankaran. In fact, he thanked the management for the performance they have done. I laud the stellar performance of the bank for the year 2025-

2026 in all spheres. As you know, the health of the bank lies in containing the NPA. That is the major one that has been done well and also taking profits to the greater level. Another

August 14, 2026 thing which we should thank the management for rewarding the shareholders. On one side, they have given 200% dividend and the other side they have given the bonus shares, which you should all thank the management and all because of the shareholders. I once again thank the management for giving a better reward for the stakeholders, which will take the bank to greater heights in the years and also keeping the value of the shares better. And thank you very much for all the persons who have been instrumental in bringing the better results for the bank. And I am also happy about my successors who are now in the management, and they are doing a good performance. And one thing which I wanted to make a point is that we have been doing a better performance in respect of technology and digital, which is proved by the awards they have been consistently receiving for the years together. I thank the bank to take technology, because technology is one area which we should concentrate, because the entire next generation is going to be only on technology, where we have to strengthen, and the bank is doing it, and I appreciate them.
