- Good afternoon, dear shareholders and a warm welcome to the 60th Annual

General Meeting of Century Enka Limited being held through video conferencing and other audio-visual means. On behalf of the Board of

Directors, I sincerely thank you for joining the AGM. We trust that you and your family members are safe, healthy, and doing well.

- In accordance with the applicable circular issued by the Ministry of

Corporate Affairs, Government of India, and the Securities and Exchange

Board of India, the Annual General Meeting is being conducted through

VC/OAVM without the physical presence of members at a common venue.

The company has provided the facility for participation in the AGM through

VC to up to 1,000 members on a first-come, first-served basis in accordance with the applicable regulatory provisions. To ensure the orderly and efficient conduct of proceedings, the audio and video of members shall remain muted

1 by default and will be enabled only when the respective members are invited to speak based on the pre-registration process or shareholder interaction.

Members may also note that, in compliance with the applicable statutory and regulatory requirements, the proceedings of this Annual General Meeting are being recorded. The transcript of the meeting will be made available on the company's website within the prescribed timeline.

- All the directors are present in the meeting. Mrs. Rajashree Birla,

Chairperson of the company, will preside over the 60th Annual General

Meeting. Mrs. Krupa Gandhi, Chairperson of the Audit Committee and the

Nomination and Remuneration Committee, is present at the meeting. Mr.

Ashish Razdan, Chairperson of the Stakeholder Relationship Committee, is also present. The representatives of the Statutory Auditor and the Secretarial

Auditor are also attending the meeting.

- Thank you, Madam. Good afternoon, dear shareholders. This meeting is being conducted through video conferencing and webcast in accordance with the provisions of the Company Act, the various circular issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India. The

Integrated Annual Report comprising the Board Report together with its

Annexures, the Corporate Governance Report, the Business Responsibility and Sustainability Report, the Independent Auditor's Report, the Standalone and Consolidated Financial Statement and other relevant reports, along with the Notice convening the 60th Annual General Meeting has already been circulated electronically to all shareholders whose email addresses are registered with the company or the depository participants.

- Pursuant to the applicable SEBI regulations, a communication containing the web link and QR code for accessing the Annual Report and the AGM Notice along with the key details relating to AGM, dividend payment and KYC updation has been sent to the shareholders whose email addresses are not registered. Such shareholders may access the Annual Report and the AGM

Notice for the Financial Year 2025-26 through the web link or QR code provided in the communication. We request those shareholders whose email addresses are not registered to complete their KYC formalities at the earliest to ensure seamless communication in the future.

- We trust that you have received the 60thAnnual Report and the Notice convening this Annual General Meeting. With your permission, I take the

Notice and the Annual Report as read. Since the Statutory Auditor Reports for the Financial Year ended 31st March 2026 does not contain any qualifications, observations, comments or adverse remarks, I take the liberty of not reading the report at this meeting in the interest of time.

- To facilitate voting on the resolution set out in this Notice, the company has provided the facility of remote e-voting through the NSDL platform. The remote e-voting period had commenced on Sunday 16th August 2026 at 9

4 a.m. IST and had concluded on Wednesday 19th August 2026 at 5 p.m. IST.

The voting right of shareholders shall be determined based on their shareholding as on the cut-off date Thursday 13th August 2026. As shareholders have been provided with the facility of e-voting in accordance with the applicable statutory provisions, voting by show of hands will not be conducted at this meeting. Shareholders who have not exercised their voting rights through the remote e-voting facility are requested to cast their votes during the course of this meeting. The e-voting facility will remain available for 15 minutes after the conclusion of the Annual General Meeting.

- The Statutory Register, documents, report required to be made available for inspection at Annual General Meeting has been made available electronically.

Together, these principles guide our efforts to strengthen our core business, enhance resilience and create long-term value for customers, employees, investors, suppliers, communities and the environment.

- India continues to offer significant growth opportunities supported by a strong economy, expanding manufacturing capabilities and increasing demand for technical textiles. With established presence, entire reinforcement and synthetic yarns, Century Enka is well positioned to capitalize on these opportunities. I am pleased to share that Century Enka Limited has continued to move forward with resilience, responsibility and a clear focus on long-term value creation.

- During this year, we remained focused on strengthening our core businesses, enhancing operational performance, optimizing resource utilization and improving productivity across our manufacturing facilities.

- Despite global uncertainties and industry-specific challenges, the company delivered a resilient performance, reporting revenues from operations of

Rs.1,705 crores and net profit of Rs.102 crores. Our disciplined execution,

5 operational efficiency and customer-centric approach continues to provide a strong foundation for sustainable growth.

As this meeting is being conducted through video conferencing and the resolutions set out are in Notice of the AGM have been placed for voting through e-voting facility, there will be no requirement for proposing and seconding of the resolutions as was customary in physical meetings. We will now brief you on the resolutions that have been proposed for the approval of the shareholders in the Notice of Annual General Meeting.

➢ Item No. 1: To receive, consider and adopt the Audited Standalone

Financial Statements of the company for the Financial Year ended 31st March

2026, together with the reports of Board of Directors and Auditors thereon.

And the Audited Consolidated Financial Statements of the company for the

Financial Year ended 31st March 2026 and the report of Auditors thereon.

➢ Item No. 2: To declare a dividend on the equity shares of the company for the Financial Year ended 31st March 2026.

➢ Item No. 3: Appointment of Messrs. Singhi & Co., Chartered Accountants as Statutory Auditors.

➢ Item No. 4: To appoint a Director in place of Mrs. Rajashree Birla, who retires by rotation and being eligible offers herself for reappointment as a

Director of the company.

➢ Item No. 5: Reappointment of Mr. Suresh Sodani as Managing Director and Chief Executive Officer of the company for a period of 2 years and payment of remuneration.

➢ Item No. 6: Ratification of remuneration of Cost Auditors for the Financial

Year ending 31st March 2027.

- Upon completion of the voting process, the scrutinizer will consolidate the results of the remote e-voting conducted prior to the AGM and the e-voting conducted during the AGM and submit the Consolidated Scrutinizer Report to the company within 2 working days. Based on the Scrutinizer’s Report, the resolutions shall be declared as passed or not passed as the case may be. The voting results will be intimated to the stock exchanges and will be placed on the company's website and the NSDL website.

- (Yes, sir. First of all, thank you very much, sir, for giving me the opportunity to speak. The name Aditya Birla itself carries such a reputation, sir, that we really have no reason to question it. We are original allottees. At some point in the past, we must have purchased some shares, and today those investments have grown into around 8 to 10 companies across our different groups. But we are, in fact, original allottees, sir and ever since we have earned good returns, the company has provided us with good returns as well.

I am a Baniya, sir, we are Baniya people. We received a good return on our investments, and the company has helped our investments grow significantly.

Kolkata. Thank you for getting me connected, an opportunity to speak on such a nice occasion. It is our 60th Annual General Meeting of the company through video conferencing, Century Enka Limited.

- Yes, as far as the performance is concerned, strong profit jumped to 52% to

Rs. 101.7 crores, whereas revenue is lower. Rs. 1,705.41 crores from Rs.

2,001.89 crores last year, Financial Year 2025.

- Sir, what are the primary reasons for lower revenue earnings?

- Alongside, we have got being shareholders about 110% of dividend, Rs. 11 per share, market price of the share is quoting around Rs. 570. Book value is also about Rs. 685. Below its book value, the market price share is quoting.

- Sir, what is the capital expenditure plan for the next 2-3 years?

- About progress of increasing the renewable power consumption, lower targeted 48% milestones. Kindly share your views.

- I hope our company will definitely grow up with a better result year ahead.

Aditya Group se hum apna kaafi time se jude hue hain. Aur sir, jis tareeke se aap log mehnat karte hain, investor ko investor-friendly approach ke saath return dene ki, yeh sir ek bahut achhi cheez hai sir. Ki saare investoron ko kya chahiye hota hai, uske investment par return, woh sir aap log already dete aaye hain. Is cheez ki, sir, aapko mubarakbaad dena chahunga ki aap log jis tareeke ki mehnat karte hain, usse humein return achha milta hai. Sir, we have been associated with the Aditya Group for quite some time. And sir, the way you all work hard to provide returns to investors with an investor-friendly approach is a very good thing. What every investor wants is a return on their investment, and sir, you have consistently delivered that. I would like to congratulate you for the efforts you make in this regard, because they have resulted in good returns for us. Bhaav ko aapne 600 rupaye se upar pahucha diya hai. Koi muqabla nahi aapki. Debt-free company, badhiya dividend. Kya sawaal poochunga aapse?

Koi sawaal aapne poochhne layak chhoda hi nahi. Chairman sahib. Thodi bahut galtiyan karte toh do-chaar sawaal mein pooch letha aapse. Bahut badhai aapko excellent result ke liye. Bas main umeed karta hoon ki next quarter, next year bhi aise chalenge.(Namaskar. First of all, many congratulations to you. You have hit several centuries, so to speak. You have taken the share price above ₹600. There is absolutely no competition with you. A debt-free company, excellent dividends, what question can I possibly ask you? You haven’t left anything worth questioning. Chairman Sahib, if you had made a few mistakes here and there, I could have asked you 2 or 4 questions. Many congratulations to you on the excellent results. I only hope that the next quarter and the next year will continue in the same way.)

- Ek meri request hai aapse. Dividend ke baare mein koi request nahi hai, jise log demand karte hain. Meri aapse demand bhi nahi hai, ek request hai. Board mein discuss kijiyega. Kabhi bonus dene ke liye sochiyega. Iske do fayde honge. Ek toh hamari jo bazaar mein liquidity hai woh badhegi aur jo long-term shareholder hain, unko paisa encash karne ki suvidha milegi thoda sa, bonus share pe. Aur company ka koi paisa nahi lagega. Hamara tax nahi lagega.

Aapko paisa nahi dena padega. Yeh mera ek sujav hai, request hai. Is par vichaar kijiyega.(I have one request for you. This is not a request regarding dividends, which is something people usually demand. I am not demanding anything either; it is simply a request. Please discuss this in the Board meeting. At some point, please consider giving bonus shares. There would be two benefits to this. First, it would increase the liquidity of our shares in the market. Second, it would give long-term shareholders an opportunity to encash some of their holdings through the bonus shares. The company would not have to spend any money, and there would be no tax burden on us. You would not have to pay out any money. This is my suggestion and request.

Please give it some consideration.)

- Aapka Inventory assessment toh sab ho gaya hai. Kya abhi kuch aur baaki hai hona? Iske baare mein thoda hume bata sakenge.

- Agle quarter mein, agle saal mein company kya aise hi progress karti rahegi, jaise aapne abhi karke dikhaya hai. Bahut hi excellent hai, mujhe laga hai. Toh please zara bataiyega.

- Udhar ke war se bhi aapko kuch effect hua hai? Ya kaun sa pass on kar paate hain ya nahi kar paate hain.

- (And secondly, can we do something in terms of diversification?

- Your inventory assessment has been completed. Is there anything else that is still pending? Could you tell us a little about this?

- And what is the guidance for the future?

- Will the company continue to progress in the next quarter and the coming year in the same way as you have demonstrated now? I think the performance has been excellent. So, please tell us a little about your outlook.

Nearly 6 decades of experience, resilience and very good contribution to the India’s textile and industrial sector. It is truly commendable. Annual Report which I have received. The presentation of the company performance disclosed is very useful for shareholders especially ek haath mein itna aapne infrastructure ko pakad ke dikhaya hai.(You have displayed the hand holding so much of infrastructure.) “Built in Trust. Driven by

- Second question about the margin improvement. Raw materials prices, energy costs, global competition continue to affect the headwind situation in our textile industry. What specific initiatives are being taken to achieve the sustainable EBITDA margin improvement over the coming Financial Years?

Our working was not even that good but PBT, PAT was up and dividend of Rs. 11 per share is a very good gesture. Good CSR work, as wherever madam is there, CSR work is always there. You know right from how many 20, 30 years I am seeing.

And ESG and climatic changes are well documented. Now my queries:

- Whether our company has to pay or will pay royalty? If so, at how much percentage and to which company in the AB group, the credit will go?

- We have 3 plants. What is the average capacity utilization? Because this is the 60th year. So naturally it is a diamond jubilee.

- Do we have R&D Innovation Center? If so, how many staff are there?

- Sir, just wanted to understand first on the PTCF segment, which is a new business we are entering into. So, just wanted to understand how is the competitive scenario in this business compared to the nylon business that we

Also, if you could mention who are the Indian competitors in this business and what is their production capacities, and how much of the domestic requirement as of now is made from domestic sources and how much of the product is being imported. Also, you have mentioned that some of the customers have approved our products. So, if you can mention the name of at least some of our customers who have already approved the product, and are we already seeing sales happening to them as of now. And broadly, if you could tell what is the quantum of sales that we have we are already doing, say would have done in 1st Quarter or likely to do in the 2nd

Quarter.

- So, on the power side, you have mentioned about 40% percent of our power being made through renewable sources. If you could help us understand in the current renewable power agreements, when have we started getting that power and how much is the saving in power cost compared to the power sourcing from the traditional sources.

- And also, for the Bharuch renewable power capacity that is likely to come on stream this year through the agreement, if you can mention what is the quantum of units that we are likely to receive annually and what would be the power cost from that unit and how much can be the per unit saving, at least if you can mention that, or what tariff units will you be able to substitute from that. And what is the quantum of units that we are likely to get from those agreements?

- Sir, we have mentioned that in the nylon segment, the basic problem with the industry has been persistent dumping from China. So how is the scenario on that front given the geopolitical issues and increased global freight rates?

Are we seeing some reduction in Chinese imports? There was also some anti- dumping duty which was being proposed. So any development that has happened on that side and what is the status of that? Do you expect that to come through anytime soon?

Thank you, sir, for providing the platform to speak something before you. Thanks to our Secretarial Department for helping me in registration as a speaker shareholder. Firstly, I want to thank you people for increasing our dividend from Rs. 10 to Rs. 11 on face value of Rs. 10, despite the difficult business environment all over the world.

- Though our profit has improved, our EPS has improved to Rs. 46.54 from

Rs. 30.71 during the previous year. But our revenue has decreased to Rs.

1,705 crore from Rs. 2,002 crore in the previous year. How it happens, sir?

Revenue decreased, but profit increased in good quantum?

- Madam, you came out with your 1st Quarter result on 28 July 26, which was excellent. In this quarter, our revenue has increased to Rs. 554 crore from Rs. 402 crore. And EPS has increased to Rs. 28.06 from Rs. 7.02.

Excellent result, sirjee. Ye to jadoo ho gaya. Ye kaise sambhav hua thoda batane ki cheshtha kijiyega Sir (Excellent result Sir. This is magic. How is this possible? Please try to tell us, sir.)

- And what is your expectation for the remaining three quarters? Do we maintain such type of growth in remaining period?

- Bonus share. Madam, our equity is too low at Rs. 22 crore, and our reserve is at Rs. 1,479 crore. Bonus toh banta hain. Aise bhi yeh long overdue hain, sir. (We need bonus. This is long overdue, sir.) Please consider to issue bonus share at least in the 1:2 ratio. And also please consider to split our shares in

1:2 ratio.

- Madam, we acquired 37 lakh shares of ABRELCEL in July ‘26. Thoda iske baare mein batayein, kyun yeh zaroori hain lena, aus isse company ko kya additional benefit hoga? (Please tell us why it is necessary to take this? And what additional benefit will the company get from this?)

Sir, at least minimum give Rs. 15 dividend; heaven would not fell. Our company performance is good. Our market position is good. Everything is good. Why such a miserly approach towards the shareholder and dividend pay-out? Sir, this is jubilee year. How we can celebrate jubilee, sir? I hope next year you should compensate us for the loss of the dividend in the current year, sir.

- Sir, AGM time. Sir, 2:30 is too early time after the lunch hour. So make it

3:30 or 4:00 pm as it was in the past, sir. We request you to have a meeting at 3:30 or 4 pm, sir.

- Sir, 320 pages of Annual Report printed copy is too heavy burden for shareholder to bear it. Thanks to SEBI’s vision and intelligence.

- Sir, will you please enlighten us about your current year performance, as some shareholders have spoken. But you can tell us the gross profit, net profit and earnings per share in comparison to the last year, sir.

- Sir, excise duty. Sir, excise duty has shot up to Rs. 222 crores. Will you please tell us… matter is before the Supreme Court. Sir, how it has arisen?

You say it is for the year 2019 only and thereafter for ‘20, ‘21 and ’23, any excise duty problem is there or not, sir, we would like to know.

- Sir, I would also like to know as regard the government policy, have you paid a 50% of the excise duty claimed by the government? Are we called upon to pay 50% of this 222 crores, we would like to know, sir.

- Sir, our plant requires a heavy power requirement. Can we run our plant alone only with the solar power? Is it possible, sir, we would like to know, sir.

- Sir, will you please keep us informed about your excise duty matter in the newspaper as and when the matter comes up before the Supreme Court. I hope you will succeed or minimize the incidence of the excise duty on the company, sir. Thank you, sir. I hope you will throw enough light on the excise duty, how it has arisen, sir, and how it has gone on for so many years, sir.

− Thanks to all the shareholders for their valuable suggestions, compliments, and queries raised by them. Your compliments and your comments help us to… motivate us to perform even better, and we are committed to work better and give better results with all growth, as requested by the members.

− I will go in the order of questions that I have written. In case some questions do get missed out, we will respond to you through your emails. Please do write to our Company Secretary in case some of the questions remain unanswered.

− A few members had raised about the lower revenue compared to the previous year, while the profit has gone up.

- Our revenue is determined by the raw material prices because the raw material cost is a very high component of our cost of production as well as the sales revenue. In the last year, our main raw material, which is caprolactam and nylon chips, prices were falling till February from almost $1,600, it fell down to $1,100. Why we maintain a margin? Because the margins are determined not in terms as a percentage of the revenue, but in terms of our formula pricing or the market-driven reality. So we could realize better prices.

- One of the other reasons that the profitability was higher in 2025-26 is the cut in GST on automobiles and tyres and many other products in September by the government, which resulted in an improvement in demand for automobiles as well as tyres, and we could see an improved demand in Q3 and Q4. And if you have followed our quarterly performance, our Quarter 3 and Quarter 4 performance was very good.

− In terms of the impact of war, which started on February 28th, we had one month of experience in FY26. Yes, it did impact the overall sentiments. But with our strong relationship both, with our suppliers as well as our customers, we did not lose any production. In fact, because of the uncertainty in the market, there was a demand for the products, especially from the tyre companies, which resulted in higher volumes in Q4. That also supported our performance in Q4 as well as in FY26. We see, since the geopolitical situation is still volatile, even in Quarter 1, but based on our experience and understanding of the market and how markets are behaving to the daily changing geopolitical situations, we have taken sufficient safety stocks of our raw materials, and similarly, have engaged with our customers to ensure that

26 their requirements are fulfilled. And that has supported our Quarter 1 performance in FY27.

− There were some questions on capital expenditure and the future plans for

FY27, as well as for the next few years.

- We intend to spend over 100 crores in FY27, which is mainly going towards establishment of a mother yarn facility at Pune, establishing VAP (value- added products) in NFY to improve our value of NFY products and energy saving schemes, as well as improving our fire safety since both the plants have a lot of old designs and are vulnerable to certain fire risks. So, we are investing to substantially reduce the fire risk at both the sites.

- We are looking at the future in terms of both on the NFY side by adding more value-added products, investing and reducing our vulnerability to imports from China, and we will continue to increase our share of value-added products, which currently forms about 37% of our NFY sales to over 50% in next few years and even take it further as we go forward.

- We are also expecting entry into new technical textile segments in addition to the tyre cord, which have similar… where we have similar knowledge requirements or similar products requirements, which are based on either nylon or polyester. And that could be one of our future growth engines for

Century Enka in next few years.

− There were some questions on the renewable energy. We are already having a renewable… just to explain the way the renewable energy works is, the government allows a specific plant or a specific project to be executed on a group captive mechanism where a third party makes the investments. But the company has to own 26% of the power and also take more than 50% of the power. So our energy… our renewable energy is based on this formula where we make investments for 26% of the equity part of that project. And that is what we have also invested in Q1 for buying additional equity for our Phase

II of Bharuch, as well as partially for the… we plan to establish renewable power for our Pune operations as well.

− Renewable power is a hybrid business where it's a mixture of wind power as well as solar power. On an average, depending on the grid rate or the state- wise rates, the renewable power on a landed basis is cheaper by between Rs.

3 to 4 per unit. Currently in this year, our renewable share was about 43%.

We intend to take it to between 50 to 60% based on the operating levels, but also will ensure that more than 50% of power availability by FY28 at both the sides is available through the renewable power. This will take care of only the current capacity requirements of power. As and when we make more investments and our power demand goes up, we may consider and invest in increasing the renewable power.

− In terms of diversification, I spoke that we continue to currently look at only diversification to new verticals of technical textiles. For example, conveyor belts, seat belts, airbag fabrics; all that comes under technical textiles, which either polyester or nylon is the raw material. And since we are operating and using these raw materials already, these become a natural extension to get into. The Government of India is also looking at technical textiles with a lot of ambition and is looking at a growth rate which is higher than the apparel textiles, because technical textile is finding wide applications in multiple industries. And with the GDP growth and with new applications getting developed, there is a good opportunity for domestic manufacturing of technical textiles to flourish in India.

− There was an expectation from two shareholders on bonus shares, being a

Jubilee year. All the Directors are present and they've heard your sentiments and they could be given due consideration. And your observations, as well as your sentiments, have been heard directly by all the Directors, and we hope something should happen subject to the Board's approval.

− Effect of war: I briefly talked about it in the earlier question. Yes, the effect of war has more challenges, but sometimes also more opportunities because it brings in more volatility. It has impacted the shipments and the supply chain. The freight rates have gone up, sea freights particularly. Availability of containers has become a challenge and we are seeing delays in both, arrival of our materials and also the availability of containers for exports. Also, since the war has led to an increase in fuel prices, it has had impact on the fuels we directly use, like LNG, as also to some extent on the price increases that have happened on diesel in the past. We are not sure what and when this war will… what shape it will take, but we are keeping all our strategies in place where we don't have excess exposure, but we are also keeping sufficient stocks to ensure that our customers don't suffer. And where the opportunity arises, we definitely capitalize on those.

− One of our valued shareholders had asked for some plans for Bengal. So as of now, in the immediate terms, there is nothing for Bengal because we are already having three sites, two in Maharashtra and one in Gujarat. We are currently looking at expanding some facilities in both the sites. And as and when the opportunity arises, we will definitely… the Board would consider it on merit and other considerations.

− There were some questions regarding the dividend, given the improvement in profitability in FY26 compared to FY25. The Board has taken consideration and has heard of your views. And I can only say that during the discussion, one of the important points was that we need to keep improving our bottom line and reward shareholders on a consistent basis so that even in a… and when the downturn comes, we don't have to reduce the dividends, which has

28 not been done in the past as well. And we would hope that in the years to come, we can increase the dividend percentage.

− In terms of margin improvement, one of the things which we have been consistently talking about in our Quarterly Investor Call, is the investments that we are making in reducing our cost, both through reducing the power rates, as well as making investments in power efficient equipments so that they add value on a long-term basis. We are adding new value-added products in our NFY category so that our low-value products’ direct sale is reduced and we can directly offer customized and customer-specific products which give a higher margin, which also add value to the customer.

− We are also working on our PTCF project, which was also another question, which would support the margin. I would address the PTCF right here that as of now the PTCF almost 85% of current demand is met by imports. There are only two players who are also, in terms of either in approval stage or have just started supplies or sales to the customers in India. This segment, since it goes to the tyre company, the passenger car tyre companies, the quality requirements are even more stringent than compared to nylon tyre-cord fabric which goes in tractors, two-wheelers and trucks and buses. The Indian imports, as I said is the significant part, and mainly coming from Vietnam and China. We have not made any commercial sales, as mentioned in our update on Quarter 4 as well as in Quarter 1 and it is available on our website.

We are moving ahead with the approval process which is a multi-stage approval and we are hopeful that in the 2nd half of this financial year we should start with our commercial sales with at least one or two customers.

Customers are similar. These are same tyre companies who make… all the tyre companies manufacture passenger car tyres as well as other types of tyres, and they are the same customers. So, we are dealing with the same tyre companies who buy our NTCF, and we are hopeful that… this is a difficult product, but with our competence of the team and also support from the group on technical matters, we are hopeful of making success in this in the current financial year.

− On the technology part, we are upgrading our technology, which has been also mentioned in our Annual Report, but I will give some specific one, that is related to improvement on our CableCorders from Generation 3 to Generation

4, and installation of both our dipping plant at Pune as well as the PTCF are latest in technology. Similarly, we are putting up the latest DTY machines which can produce yarns which are suitable for functional wear as well as athleisure. So, all our new investments are best in the technology.

− And we are also upgrading our old technologies, as I mentioned in example.

We are also repurposing some of our equipments where they could be modified with, either in-house or with an external consultant, to produce products which can give better value and which have better demand in the market. So, since the company has a mix of both old and new equipments, all the new

29 equipments are definitely coming up with the best-in-class technology, and we are upgrading in a systematic manner our old equipments, either through

OEMs or through external consultants.

− I have already spoken about the long-term vision and we hope that we can come up with a more detailed five-year plan once we have done our due diligence and detailed working on the technical textiles, and we will be able to share that once we have a clear vision and approval of the Board to go ahead with certain long-term investments, particularly related to the new product diversifications in the technical textile space.

− In the terms of digital business, that is quite small. Most of our businesses, our model is B2B, where both… in terms of our reinforcement, we are dealing directly with the tyre companies, and in case of our NFY, while we have direct contacts with our customers, but it also goes through the dealers because their connect is even greater and we have a very large number of customers in case of the NFY segment.

− In case of AI usage, we have started doing that. To give an example, in our dipping plant, we have installed an AI camera which can detect the defects in the entire roll-up close to 3,000 meters so that the manual intervention is not required and any off-spec product is not dispatched to the customer. This has been implemented in both the sites. And we are increasing our AI usage looking at what is the right application, because it comes with some risk as well and we have to be careful on where we are using AI.

− There was a question about the green product which we manufacture. We are the only company in India which is doing a chemical recycling of our process waste, which is mostly the pre-consumer waste. But we have also done the post-consumer waste of the market which is recycled back to caprolactam and polymerized chips. These polymerized chips are mostly sold to western countries like US, Europe where the companies have their targets of using GRS products. We also manufacture yarn from these de-polymerized chips which are… Now we have launched a brand called NUENYL and these will be marketed under NUENYL. We are hoping that this being a circular product, would find good acceptance in the market and we will be able to increase share of our yarns in the market under the brand NUENYL. In the past we have also manufactured nylon tyre-cord fabric using the recycled polymer, recycled from the waste, and it has been supplied on commercial basis to two tyre companies in India. Since it is slightly costlier than the virgin product, it does not have… it will take time to be established. But as mentioned, since companies have targets in terms of some products or some percentage of usage of recycled product, we are hopeful that that segment should also pick up.

− There was a question on royalty. There was no royalty payment in FY25-26.

But since we are using ABG brand, we may have some royalty payment in the

30 future. And as and when it is done, we will definitely share with the shareholders through the stock exchanges.

− The capacity utilization last year was about 79%, mainly due to lower demand in the first two quarters where the demand in most of the products and commodities was lower. And one of the reasons was the uncertainty in geopolitical situation which also prompted… and also the sanctions that were imposed by US on India which had a negative sentimental impact. But post the GST cut, we saw good improvement in the volumes. So that also supported. But overall, the capacity utilization was below 80%, about 79%.

We are hopeful that in the medium to long term we should be in the normal range of 85% to 90% capacity utilization.

− I have already spoken about the West Asia crisis and PTCF.

− In Bharuch we already have renewable power, which is one which was started two years back. We had completed two full years of receiving the power. The second phase of renewable power for Baruch plant is likely to get commission in Q3 which is an equivalent capacity of Phase I. And post, since the renewable power generation varies by the season it… but normally we get about of the installed capacity, a CUF about 53 to 55%, so we can expect combined availability of 11 to 12 megawatts of power post commissioning on

Phase II for Bharuch. We are planning to also sign an agreement for renewable power for the Pune plant which is expected to commission FY28. That should also satisfy over 50% demand for the Pune requirement.

− There was a question on dumping from China which has increased significantly in FY26, as well as in Q1. China has the largest capacity of the entire value chain from Caprolactam to fabric, and even garments, and all the surplus capacity is exported to markets which are attractive. India being a very attractive market because NFY demand is growing at a healthy pace. We had applied for ADD about two years, one and a half years back, and the arm of the Commerce Ministry which is called DGTR, had also recommended ADD on China after investigation, which meant that there was dumping from China at lower prices. However, which has been the case in most of the raw materials and intermediate products, the Finance Ministry has not notified the ADD recommended by DGTR. We have made multiple representations at every level in the government and we are still working… and we are still through the association, requesting the government to ensure that the health of yarn industry, as well as the downstream industry remains healthy, and for which a level playing field is required and some sort of protection is required. Even the duty is at very low level at 5%, which is not sufficient to cover the cost differences and the productivity difference between China and India.

− There was a result question about the Q1 results. I thank the member again for his compliments on Q1. We conduct a Quarterly Investor Meet which is also notified, and our presentation is uploaded at on the sites of both the

31 stock exchanges. We had already done the investor call, but since specifically the member had asked what are the factors which contributed to higher profitability in Q1, is that the volume was very healthy in both segments, even though slightly lower than Q4. But compared to Q1 of FY26, it is significantly higher, and which also supported the margins. The productivity improvement programs and the investment that we have made in the past as well as we continue to make in terms of both the sides, also is supporting our performance.

− We were able to pass through the raw material cost with clear communication with our customers, and that did not impact our margins.

Since the war started in March and the end of March the cost structures were not similar to… for the entire quarter was not similar to Q1, we started with a low-cost inventory at every stage and which converted to a higher cost. So, we had a one-time stock gain, and we could sell our inventories at a better price, I mean more current prices. But at the end of the quarter, we have a higher cost inventory which reflected a one-time stock gain.

− Also, this year, in this quarter the monsoon was delayed and we had higher generation of renewal power, which also supported our power and fuel cost, and we could pass through the entire increase in our petrol-based fuel in our pricing, to our customers. This was definitely… there were some exceptional items and we are not able to confirm that this kind of one-time or gains would be there in the future quarters. We do not give any outlooks about it, but I think our presentation on Quarter 1 results for the investors is quite clear on what factors led to improvements and what is that could impact our future quarters.

− There was a request on changing in the AGM time. We will consult with our

Secretarial Department and the Board if it is feasible to in future to revise the

AGM time. We will consider that, and if possible, implement it in the next year.

− Dividend increase, I have already addressed that. Yes, compared to the increase in profitability we have increased it by 10%. But as I mentioned earlier, the Board had considered that continuous improvement in dividend, share dividend payout is as important as one-time increases and we should be able to sustain any dividend increase that we give, so that that does not create a disappointment with the shareholders.

− There was a question and explanation was sought on the Excise duty matter. So while it has been elaborated in the Annual Report and we also give an update in every quarterly result, just to give a summary, this relates to the

229 crores. That was related to some notification in 2019 related to our hard operations, which is not working… which had stopped that time, and was related to what benefits or what credit of CENVAT could be availed by the company. However, we went to CENVAT… to the Appellate Authority and our

32 application was heard and it was remanded back for… I think or for finalization of the correct value of the duty to the Commissioner. The 229 crores, the Commissioner of Income Tax had reduced it to 7.3 crores, which, once the order was received, we had deposited that under protest since the company had a legal opinion that there is no liability because of a similar case, and a strong legal opinion that our case is strong and there should be no liability on this account. So, we have filed a case in the Supreme Court, which has not been listed for hearing till now. Parallelly, the Excise

Department has also gone to the appellate authority questioning the calculation methodology used by the Commissioner. So, there are two cases.

And then we have also filed a case with the Bombay High Court with respect to the interest and the penalty. So, from the government… from the department side, they have again challenged the computation of excise duty of 7.3 crores at the CESTAT, which is the appellate authority. The company has challenged even the 7.3 crores that has been levied or has been calculated by the Commissioner before the Supreme Court, and also filed the case related to the interest part at the Bombay High Court. We are hopeful, based on the legal opinion, that we have a strong case, and for that reason no provision has been made in the books of account, while we have made the payment under protest, so that in the worst-case scenario there is no further liability on interest and penalty on that account.

− I think my list of questions is almost over. I’ll see if anything else.
