EXL Completion of Divestment of United States Business

ASX ANNOUNCEMENT 7 September 2026 | ASX: EXL Completion of Divestment of United States Business Elixinol Wellness Limited (ASX: EXL) is pleased to confirm that the sale of its US business to Ananda Health, Inc. completed on Friday, 4 September 2026, in accordance with the asset purchase agreement announced on 31 August 2026 (Agreement). As previously announced, the transaction provides for headline consideration of approximately A$465,000, comprising upfront and deferred consideration, including a regulatory contingent payment and revenue-based earn-out. The divestment simplifies the Group’s operations, reduces its exposure to the evolving US regulatory environment and enables EXL to focus its resources on its Australian health and wellness portfolio. Completion and transition The conditions to completion, being completion of due diligence, no material adverse change and receipt of the required consents from the loan note holders that held security over the US business, were each satisfied. Transitional arrangements have commenced to support an orderly transfer of the business, including operational, customer service, marketing and other support, for a period of up to six weeks following completion. The upfront consideration of A$250,000 has been released from the escrow account and is expected to be received by EXL on 7 September 2026. Outstanding consideration The full terms of the Agreement, including the consideration payable, were set out in the Company's announcement of 31 August 2026. Following payment of the upfront consideration, the consideration remaining payable to EXL under the Agreement comprises deferred and contingent proceeds of up to A$215,000.
